You will advise top-tier clients, manage multi-jurisdictional deals, and drive business development while mentoring a high-performing team and upholding regulatory compliance.

Qualifications

• 7–12 years of relevant experience in law
• Bachelor’s degree in Law (LL.B. or equivalent) from a recognised university
• Postgraduate qualification (LL.M. or equivalent) in Banking & Finance, Corporate Law, Commercial Law or related field is an advantage
• Proven track record leading transactions across PE, M&A, and capital markets

Responsibilities

• Lead private equity fund formation, governance, and GP/LP negotiations.
• Manage cross-border M&A, LBOs, distressed assets, and capital markets transactions.
• Cultivate client relationships with GPs, sovereign wealth funds, and institutional LPs.

Our client, an ambitious and growing law firm in Oman offering a broad range of legal services to corporate and individual clients, is seeking an experienced legal professional to join its expanding practice.

1. Job responsibilities:

• Private Equity (PE)
  • Fund Formation & Governance:
    • Lead GP/LP agreement negotiations.
    • Structure secondary funds, continuation vehicles, and co-investment funds.
    • Advise on management company governance, board compositions, and regulatory compliance.
  • Portfolio Company Transactions:
    • Handle add‑on acquisitions, carve‑outs, and restructurings for PE‑backed companies.
    • Standardize legal documentation for repeatable PE transactions.
  • Client Relationships:
    • Primary advisor to top‑tier GPs.
    • Engage sovereign wealth funds & institutional LPs.
  • M&A
    • Leveraged Buyouts & Restructurings:
      • Lead LBOs, debt financings, and portfolio company restructurings.
      • Advise on distressed asset acquisitions, special situations, and turnaround strategies.
      • Structure tax‑efficient deals.
    • Cross‑Border & Complex Transactions:
      • Manage multi‑jurisdictional M&A (US‑EU, Asia‑Pacific, Middle East).
      • Navigate regulatory hurdles (CFIUS, EU Merger Control, China NDRC, competition law).
    • Client Relationships:
      • Work with strategic buyers, financial sponsors, and private equity‑backed sellers.
      • Drive repeat business through post‑deal support and restructuring advisory.
  • Capital Markets Division
    • IPOs & Public Offerings:
      • Lead IPOs, direct listings, and follow‑on offerings for PE‑backed portfolio companies.
      • Ensure compliance with securities laws.
    • Secondary & Private Placements:
      • Execute secondary sales, private placements, and block trades.
      • Advise on liquidity events for LPs and portfolio company shareholders.
    • Client Relationships:
      • Engage investment banks, broker‑dealers, and institutional investors.
      • Build long‑term relationships with PE firms seeking capital markets exits.

2. Responsibilities:

• Practice Growth & Business Development (BD):
  • Develop and execute targeted BD strategy for PE, M&A, and capital markets.
  • Secure multi‑jurisdictional mandates.
  • Leverage firm’s network to expand client base.
• Thought Leadership:
  • Author high‑impact legal insights (whitepapers, client alerts, articles).
  • Speak at industry conferences (ILPA, LPAA, PEI, CFA Institute, IFC events).
  • Shape legal/regulatory frameworks through policy engagement.
• Team Leadership:
  • Recruit, mentor, and retain top legal talent in PE, M&A, and capital markets.
  • Foster high‑performance culture with clear KPIs and professional development.
  • Optimize resource allocation for maximized billable utilization and profitability.

3. Requirements

• 7–12 years of relevant experience
• A Bachelor’s degree in Law (LL.B. or equivalent) from a recognised university.
• Candidates qualified in jurisdictions such as England & Wales, Australia, New Zealand, Canada, Hong Kong, Singapore or other recognised Common Law jurisdictions will be considered.
• An additional postgraduate qualification (LL.M. or equivalent) in Banking & Finance, Corporate Law, Commercial Law or a related field would be an advantage.
• Proven track record leading transactions across PE, M&A, and capital markets.
• Deep expertise in:
  • PE: Fund formation, GP/LP agreements, portfolio company transactions.
  • M&A: LBOs, carve‑outs, distressed assets, cross‑border deals.
  • Capital Markets: IPOs, secondary offerings.
• Strong client management with PE firms, LPs, and financial sponsors.
• Languages
  • Fluent English - mandatory
  • Arabic - preferred.
