Support the Head of Legal & Compliance in delivering practical, timely and commercially focused legal and compliance support and manage legal, contractual and regulatory risk, supports ethical business conduct and strengthens governance across the Company.
PART A: KEY RESPONSIBILITIES
Contract Management
- · Draft, review, negotiate and advise on a broad range of commercial documents and agreements to protect the Company’s interests and manage legal and contractual risks. These include non-disclosure agreements, teaming and channel partner agreements, software and technology agreements, sale and purchase agreements, tenancies and leases, tender documents and general services agreements.
- · Manage disputes and claims by coordinating appropriate legal strategy, including demand letters, court proceedings and engagement with external counsel, where required.
- · Provide sound, timely legal counsel to internal business units regarding local regulatory compliances and laws.
- · Provide clear legal guidance, interpret legal requirements and deliver practical legal updates, training and reference materials to employees.
- · Partner with relevant business functions to identify legal risks, recommend proportionate mitigation measures and monitor agreed corrective actions.
- · Develop legal and compliance risk assessments and contribute to crisis management and response plans to protect the Company (including its Group) and its reputation.
- · Identify and raise business ethics or compliance concerns through routine briefings or urgent reporting channels, as appropriate. Coordinate with local management, Regional APAC and Headquarters to promote high standards of ethical conduct.
- · Contribute to global business ethics procedures and maintain local guidance so that it reflects applicable Malaysian law and corporate policies.
- · Conduct or support risk-based due diligence on agents, partners and other relevant third parties, and elevate identified concerns.
Governance
- · Review and draft internal policies and procedures and advise management on their legal and regulatory implications.
- · Formulate and update internal legal templates and company standard operating procedures (SOPs).
- · Support compliance with applicable corporate governance and legal requirements, including the Companies Act 2016, Personal Data Protection Act 2010, Competition Act 2010 and Malaysian Anti-Corruption Commission Act 2009, as amended or replaced from time to time.
- · Support company compliance initiatives concerning interactions with external stakeholders, including business partners, distributors, dealers, vendors, clients and government authorities.
- · Coordinate and deliver business ethics and compliance training for employees, including completion tracking and follow-up actions where required.
- · Manage relationships and strategy with external law firms handling the company's active court disputes.
- · Liaise with regulators and relevant authorities on statutory requirements and compliance matters, with appropriate internal approval.
Others
- · Support the Head of Legal & Compliance in managing the Legal & Compliance team, including work allocation, quality review, coaching, constructive feedback and process improvement.
- · Support corporate secretarial matters, including plan, coordinate and conduct board meetings, prepare agendas and briefing materials, record minutes and track agreed actions as well as liaison with the outsourced company secretary and monitoring timely and accurate statutory filings.
- · Assist on internal and external ISO audits.
- · Maintain confidential legal and compliance records, a systematic document filing system and appropriate custody controls for executed agreements.
- · Review and verify invoices and expenses relating to legal and compliance matters before submission for approval.
- · Undertake other duties reasonably assigned by the Head of Legal & Compliance that are consistent with the scope and seniority of the role.
PART B: QUALIFICATIONS AND REQUIREMENTS
- · Bachelor of Laws (LL.B.) or equivalent recognised legal qualification.
Professional Credentials
- · Called to the Malaysian Bar OR possess an equivalent professional qualification, is preferred.
Experience
- · Minimum 10 years of post-qualification experience, ideally gained from an established law firm or within a fast-paced corporate legal department. Managerial experience would be an advantage.
Languages
- · High proficiency in English and Bahasa Malaysia.
- · Proficiency in Ms Word, Ms Excel and Ms PowerPoint with good writing skills.

- · Strong legal knowledge, negotiation capabilities, strong commercial acumen, and the ability to work independently with minimal supervision.
