Lead and oversee the overall company secretarial, corporate governance and statutory compliance function for the Group and its subsidiaries, ensuring effective, timely and high-quality delivery of all relevant requirements.
Monitor and assess changes in company law, listing requirements, regulatory requirements and corporate governance practices, and provide timely advice to Management and the Board on potential impact, risks and required actions.
Provide professional and practical corporate secretarial, corporate governance and regulatory advice to the Board of Directors, Board Committees, Senior Management and subsidiary companies on matters relating to company law, directors’ duties, statutory obligations, governance requirements and corporate actions.
Ensure compliance with the Companies Act 2016, Bursa Malaysia Securities Berhad Listing Requirements, Malaysian Code on Corporate Governance, and other applicable laws, regulations and governance requirements.
Act as the named Company Secretary where applicable and ensure the maintenance of a valid SSM Practicing Certificate and other relevant professional licenses or certifications required to carry out company secretarial duties.
Plan, coordinate and oversee the organization and administration of Board of Directors, Board Committee, Management Committee and Shareholders’ meetings, including the preparation, review and timely circulation of meeting notices, agendas, Board papers, resolutions and other relevant documentation.
Attend Board, Board Committee and Shareholders’ meetings as required, ensure accurate recording of proceedings and resolutions, review meeting minutes and monitor follow-up actions arising from meetings.
Coordinate and oversee Annual General Meetings (AGMs), Extraordinary General Meetings (EGMs) and other shareholder meetings, including preparation of notices, resolutions, documentation and statutory/regulatory submissions.
Oversee the preparation, review and timely filing of all statutory documents, announcements, returns, resolutions and other submissions with the relevant regulatory authorities, including SSM, Bursa Malaysia Securities Berhad and other relevant authorities.
Ensure all statutory registers, records, minute books and corporate documents are properly maintained, updated and secure and readily accessible in accordance with statutory and regulatory requirements.
Lead and manage corporate exercises, transactions and ad-hoc corporate projects from a company secretarial and governance perspective, including incorporation, restructuring, changes in shareholding or capital, allotment or transfer of shares, changes in directors and officers, acquisitions, disposals, dissolution and other corporate exercises.
Review and enhance departmental processes, controls Board meeting systems and workflows to improve operational efficiency, governance standards, accuracy and compliance.
Lead, guide and develop the Company Secretarial team, including reviewing work, managing workloads, providing technical guidance, coaching team members and ensuring assignments are completed accurately and within stipulated deadlines.
Establish and maintain effective working relationships with Directors, Senior Management, internal stakeholders, external Company Secretaries, auditors, legal advisers, regulators and other professional service providers.
Manage departmental priorities and ensure high-quality delivery of work while meeting statutory deadlines and regulatory requirements and internal governance standards.
Undertake any other ad-hoc projects, assignments and responsibilities as may be assigned by the Management.
Requirements :
Bachelor’s Degree in Corporate Administration, Law, Business Administration, Finance, Accounting or other relevant professional qualifications. Relevant professional qualifications in company secretarial practice will be an added advantage.
Member of MAICSA (The Malaysian Association of Institute of Chartered Secretaries and Administrators) or holder of other recognized equivalent professional qualifications.
Registered as a Company Secretary with the Companies Commission of Malaysia (SSM) and holds a valid SSM Practicing Certificate.
Minimum 8 to 10 years of relevant experience in corporate secretarial practice, preferably with exposure to large group structures and/or listed companies.
Strong and in-depth knowledge of the Companies Act 2016, Bursa Malaysia Securities Berhad Listing Requirements, Malaysian Code on Corporate Governance, Capital Markets and Services Act and other relevant statutory and regulatory requirements.
Proven experience in managing and supporting Board and Board Committee matters including preparation of meeting notices, agendas, Board papers, minutes and resolutions.
Experience in coordinating Annual General Meetings (AGM), Extraordinary General Meetings (EGM) and other corporate governance activities.
Strong experience in handling statutory filings, maintenance of statutory registers and records, corporate resolutions and other regulatory requirements for multiple companies/entities.
Experience in managing company secretarial matters for subsidiaries and group companies would be an advantage.
Ability to provide sound and practical advice to the Board, Directors and senior management on company secretarial, statutory and corporate governance matters.
Strong stakeholder management skills, with the ability to liaise effectively with Directors, senior management, regulators, auditors, legal advisers and external professional advisers.
Experience in leading, supervising or mentoring a company secretarial team would be an advantage.
Demonstrated ability to work independently, take ownership of the company secretarial function and provide proactive advice to the Board and senior management.
High level of integrity, professionalism, discretion and confidentiality, with sound judgement in handling sensitive corporate matters.
Strong analytical, problem-solving, organisational and time-management skills, with the ability to manage multiple priorities and critical statutory deadlines.
Proficient in corporate secretarial systems and Microsoft Office applications.
