Praxi spa - filiale di Roma Tiburtina - filiale di Roma Tiburtina è alla ricerca di un Avvocato Counsel senior per supportare aree legali operative in Parma. La posizione prevede un contratto a tempo pieno e regime ibrido, con responsabilità su contratti, governance e compliance.

Il candidato ideale possiede laurea in giurisprudenza, abilitazione all'Ordine e 9–12 anni di esperienza, con fluency in italiano e inglese. Retribuzione annua tra 80.000 € e 90.000 € e livello di quadri CCNL Industria.

Qualifications

• Post‑qualification experience dalla 9 alle 12 anni in studi legali o aziende internazionali.
• Forte esperienza in diritto commerciale e diritto societario.
• Conoscenza approfondita del DLgs. 231/2001, governance aziendale, contratti e compliance.
• Fluenza in italiano e in inglese.

Responsibilities

• Fornire supporto legale su tutte le attività aziendali, contratti commerciali, governance e compliance.
• Redigere, rivedere, negoziare e supportare l'implementazione di accordi commerciali.
• Consigliare pratiche commerciali conformi a politiche interne e controlli.
• Coordonare progetti strategici, riorganizzazioni e acquisizioni.

Main activities

• Provide legal support across all aspects of business operations, including commercial contracts, corporate governance, regulatory compliance, litigation management, leasing and employment-related matters.
• Draft, review, negotiate and support the implementation of commercial agreements.
• Deliver practical legal advice to facilitate sound business and commercial decision‑making.
• Promote compliance with corporate policies, internal controls and contracting procedures.
• Identify, assess and mitigate legal and compliance risks.
• Collaborate with key stakeholders across General Management, Human Resources, Finance and Operations.
• Support strategic projects, including corporate reorganizations, acquisitions and integrations.
• Coordinate and manage relationships with external legal counsel.
• Contribute to the continuous improvement of legal processes, templates and governance practices.
• Support the implementation of ethical business practices and compliance initiatives.

Requirements

Must have

• Law Degree obtained from an accredited Italian university
• Italian Bar qualification.
• Approximately 9-12 years of post‑qualification experience gained in reputable law firms and/or multinational companies.
• Strong experience in commercial and corporate law.
• Excellent knowledge of Legislative Decree 231/2001, corporate governance, commercial contracts and compliance matters.
• Fluency in both Italian and English.

• Knowledge of GDPR and data protection regulations.
• Knowledge of international trade and export control regulations.
• Experience supporting industrial, manufacturing or technology businesses.
• Strong legal analysis and problem‑solving skills.
• Excellent drafting and contract negotiation capabilities.
• Strong stakeholder management and communication skills.
• Solid business acumen and commercial judgement
