Qualifications

• Experience with contract lifecycle management (CLM) systems and drafting/negotiating commercial contracts.

Responsibilities

• Serve as primary point of contact for internal and external legal matters.
• Manage secretarial compliances including ROC, MCA filings.
• Maintain registers as required by Companies Act.
• Assist in tax filings (Direct & Indirect Taxes).
• Use CLM platforms for contract control and compliance monitoring.
• Organise Board Meetings and prepare board resolutions.
• Draft, review, and negotiate a wide range of commercial agreements.
• Develop standardized contract templates aligned with operations.
• Conduct risk assessments and support strategic risk initiatives.
• Ensure compliance with trade laws, data privacy, and consumer protection rules.

Role Overview

We are seeking a proactive, highly skilled, and detail-oriented Senior Legal Counsel to support our companys growth and strengthen the legal infrastructure of our operations. In this role, you will oversee contract management, compliance, and risk mitigation across a fast-moving ecommerce and supply chain environment.

The ideal candidate brings experience working within complex distribution, logistics, and marketplace ecosystems. You should have a strong understanding of ecommerce marketplace business models, international commercial contracting, and the legal frameworks governing export/import, shipping, warehousing, and cross-border operations. Experience within enterprise organizations or marketplaces is highly preferred.

Candidates with hands-on experience using contract lifecycle management (CLM) systems or digital workflows for drafting, approvals, and contract tracking will stand out. Especially the candidate who can leverage data and analytics to drive compliance, visibility, and process efficiency. As an on-site, in-house role, the position requires regular presence at the office and adherence to internal policies, employment laws, and data privacy regulations.

Key Responsibilities

• Serve as the primary point of contact for internal and external legal matters and manage day-to-day legal operations.
• Manage all company related secretarial compliances including ROC, MCA filings.
• Maintenance of registers as required by Companies Act.
• Assist in Tax filings both - Direct and Indirect Taxes.
• Maintain legal filing systems, archiving, and document accessibility while using CLM platforms for contract control, compliance monitoring, and operational efficiency.
• Organising Board Meetings and preparation and maintenance of board resolutions and required filings.
• Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, NDAs, SLAs, and partner/supply chain agreements.
• Develop and maintain standardized contract templates aligned with business operations.
• Conduct ad hoc risk assessments and support strategic risk mitigation initiatives.
• Ensure compliance with trade laws, import/export regulations, data protection and privacy requirements, and other applicable regulations.
• Oversee adherence to consumer protection rules, labeling requirements, product safety standards, and advertising compliance.
• Filing of Annual Returns as required by Companies Act
• Develop, implement, and periodically review internal legal policies, procedures, and governance frameworks to ensure ongoing relevance and effectiveness.
• Support Due diligence activities

You Are a Strong Candidate If You:

• Hold a Bachelors degree in Law (LLB); or LLM or active bar membership in any jurisdiction is a plus.
• Have 68 years of legal experience, ideally in in-house or corporate roles.
• Have exposure to legal operations in large enterprises or marketplace platforms.
• Are highly skilled in drafting, negotiating, and reviewing complex commercial contracts.
• Possess strong analytical thinking and problem-solving skills.
• Are exceptionally organized, with the ability to manage multiple priorities and deadlines.
• Demonstrate excellent written and verbal communication skills.
• Strong understanding of corporate laws and governance frameworks.
