Ample Success HR is seeking an experienced Senior Legal Counsel/Advocate in Gurugram with 15+ years of post-qualification experience. The role focuses on NCLT matters, CIRP, resolutions, IBC, and extensive real estate law practice.

You will independently handle litigation before NCLT and various courts, draft complex contracts, conduct due diligence, and provide strategic legal guidance to senior management on transactions and project matters.

Qualifications

• LL.B. from a recognized university is mandatory.
• LL.M. will be an added advantage.
• Registered with the Bar Council of India.

Responsabilités

• Independently handle matters before NCLT, High Court, Civil Courts, RERA, and other authorities.
• Lead CIRP matters including admission, CoC, resolutions, liquidation and related compliance.
• Advise management on insolvency, restructuring, distressed asset transactions, and disputes.
• Draft, review, and negotiate sale deeds, lease deeds, development agreements, and other contracts.
• Conduct legal due diligence, title verification, and risk assessment for land development.
• Provide advice on RERA, Companies Act, IBC, Contract Act, Transfer of Property Act, and related laws.
• Draft and respond to legal notices, petitions, pleadings, and submissions.
• Coordinate with external advocates, RP, IP, and regulatory authorities.
• Manage dispute resolution through litigation, arbitration, mediation, and settlements.
• Ensure compliance and maintain legal documentation and case records.

Position: Senior Legal Counsel / AdvocateIndustry: Real EstateLocation: GurugramExperience: 15+ YearsReporting To: Senior ManagementJob SummaryWe are seeking an experienced Senior Legal Counsel / Advocate with proven expertise in NCLT matters, Corporate Insolvency Resolution Process (CIRP), Resolution Plans, Insolvency & Bankruptcy Code (IBC), and Real Estate laws. The ideal candidate will be responsible for handling complex litigation, insolvency proceedings, corporate legal matters, contract management, property documentation, and regulatory compliance while providing strategic legal support to senior management.

Key Responsibilities

• Independently handle matters before the National Company Law Tribunal (NCLT), High Court, Civil Courts, RERA, Consumer Forums, and other judicial authorities.
• Lead and manage Corporate Insolvency Resolution Process (CIRP) matters, including admission, claims, Committee of Creditors (CoC) proceedings, Resolution Plans, liquidation proceedings, and related compliances under the Insolvency and Bankruptcy Code (IBC).
• Advise management on insolvency, restructuring, distressed asset transactions, and corporate dispute resolution.
• Draft, review, and negotiate Sale Deeds, Lease Deeds, Development Agreements, Joint Development Agreements (JDA), MOUs, Construction Contracts, Vendor Agreements, and other commercial contracts.
• Conduct legal due diligence, title verification, and risk assessment for land acquisition and development projects.
• Provide legal advice on RERA, Companies Act, Insolvency & Bankruptcy Code (IBC), Contract Act, Transfer of Property Act, Registration Act, and other applicable laws.
• Draft and respond to legal notices, petitions, written statements, and other legal pleadings.
• Coordinate with external advocates, Resolution Professionals (RP), Insolvency Professionals (IP), legal consultants, and government authorities.
• Manage dispute resolution through litigation, arbitration, mediation, and settlement negotiations.
• Ensure legal compliance across all business operations and maintain legal documentation and case records.
• Provide strategic legal guidance to senior management on business transactions, acquisitions, and project-related matters.

Eligibility Criteria

• LL.B. from a recognized university is mandatory.
• LL.M. will be an added advantage.
• Registered with the Bar Council of India.
• Minimum 15 years of post-qualification experience, with significant exposure to NCLT, CIRP, IBC, and Corporate Legal.
• Demonstrated expertise in handling Corporate Insolvency Resolution Process (CIRP), Resolution Plans, Committee of Creditors (CoC) proceedings, and NCLT litigation.
• Strong knowledge of Real Estate laws, RERA, property laws, land acquisition, and contract drafting.
• Excellent drafting, analytical, negotiation, and communication skills.
• Ability to independently represent the organization before judicial and regulatory authorities.

Preferred Background

• Experience with a reputed Real Estate Developer, Infrastructure Company, Resolution Professional (RP), Insolvency Professional (IP), or Corporate Legal Firm.
• Proven track record of successfully handling NCLT litigation, CIRP, Resolution Plans, and complex insolvency matters.
• Strong exposure to land acquisition, title due diligence, and large-scale real estate projects.
