Job description

The position will provide comprehensive and efficient support to the Company Secretary on managing compliance pertaining to SEBI Listing Regulations and Companies Act, 2013 and specific focus on Prevention of Insider Trading, Claims and matters etc., received from Investor Education and Protection Fund (IEPF), entire Dividend activity and other related compliances pertaining to these areas.

A purpose driven role for you

This role will be a part of the secretarial team and will be supporting Head Compliance on managing compliances across India.

A Day in the life

Managing compliances under Company Secretarial function, viz. SEBI Regulations & Companies Act, 2013.

• Checking Amendments in SEBI Regulations and under the Companies Act, 2013 including its rules.
• Developing system and processes to ensure timely and correct submission of compliances in the ever changing compliance framework.
• Creating awareness in the organization / relevant functions of the requirement and the need to comply with specific provisions.
• Preparing timelines for filing the documents/ returns with SEBI and Stock Exchanges and Registrar of Companies.
• Managing Stakeholders grievances and resolution
• Assisting in corporate meetings (Board/Committee/General Meeting)
• Managing Corporate Actions

Prevention of Insider Trading

• Managing and maintaining structured digital database
• Ensuring the framework for management of Unpublished Price Sensitive Information (UPSI)
• Managing the workflow for trading approvals, restrictions, closure of trading window, etc.
• Working of the entire process through an application and online tool for PIT.
• Disclosure and reporting requirements to be met as per timelines
• Running awareness sessions and campaigns in the organization

IEPF related

• Managing the IEPF claims and matters
• Coordinating with RTA for sorting the claims of the Investors
• Coordinating with IEPF office for approvals etc.
• 100% compliance with the Standard Operating Procedures for the matters.
• Working of the entire process through an application and online tool.
• Filing applicable forms with IEPF authority
• Transfer of shares and unpaid dividend with IEPF on regular basis and filing of returns for the same.
• Issuance of Entitlement Letters

Dividend payment and associated compliances

• Managing the entire dividend activity starting from declaration of dividend to final payment
• Sending intimation to the shareholders on TDS and requirements for payment of dividend
• Work closely with taxation and finance teams for the dividend payment formalities
• Filing of all forms and disclosures
• Coordination with Bank and Registrar and Transfer Agent
• Checking and processing dividend revalidation requests on a weekly basis.
• Ensuring of all checks and balances for the dividend payment
