Mangalam Placement Pvt Ltd. seeks an experienced Company Secretary to head secretarial and governance functions. You will manage statutory compliance, board processes, and regulatory filings for a listed entity, coordinating with directors, regulators, auditors, and legal advisers.

The role demands deep knowledge of the Companies Act, SEBI rules, LODR, and stock exchange disclosures, with leadership responsibility over the team and governance strategy.

Qualifications

  • 15–20 years of relevant experience in Company Secretarial and Corporate Governance functions.
  • Experience in a Listed Company is mandatory/preferred.
  • Excellent knowledge of Companies Act, SEBI regulations, LODR, and Stock Exchange compliances.
  • Strong exposure to Board/Committee processes, corporate governance, and regulatory filings.
  • Excellent communication, drafting, coordination, and stakeholder-management skills.

Responsibilities

  • Manage all corporate secretarial and statutory compliance matters for the Company.
  • Ensure compliance with the Companies Act, 2013, SEBI regulations, and Listing Regulations.
  • Handle compliances and filings with ROC, MCA, SEBI, Stock Exchanges, and other regulatory authorities.
  • Manage preparation and coordination of Board Meetings, Committee Meetings, and General Meetings, including agendas, notices, minutes, and statutory documentation.
  • Maintain and update statutory registers, records, and corporate documentation.
  • Ensure timely submission of stock exchange disclosures and regulatory filings for a listed entity.
  • Advise the Board and senior management on corporate governance and regulatory matters.
  • Coordinate with Directors, auditors, legal advisors, regulators, and other stakeholders.
  • Handle matters relating to shareholders, investor relations, share transfers, corporate actions, and disclosures
  • Oversee compliance with SEBI LODR, Insider Trading Regulations, and other applicable SEBI regulations.
  • Manage annual filings, disclosures, and compliance calendars.
  • Support corporate restructuring, mergers, acquisitions, and other strategic corporate matters, as required.
  • Lead and mentor the secretarial and compliance team.
