Job description

Hiring for an Associate in Corporate and M&A at Hyderabad location

Key Skills Required:

• General Corporate - Commercial Contracts, Corporate Advisory, Labour and Employment, Regulatory Compliances, Corporate Compliances
• Transactional Experience - familiar with M&A, private equity investments, VC funding, joint ventures, and other strategic transactions.
• Must have demonstrable experience in (a) corporate advisory - legal research, preparing legal opinions and memos, drafting and reviewing commercial contracts, etc. (b) preparing initial drafts of definitive transaction documents including term sheets, SPAs, BTAs, SHA, JV agreements, etc.
• Well versed and good understanding of corporate laws, including, Indian Contracts Act, 1872, Companies Act, 2013, Foreign Exchange Management Act, 1999, Competition Act, 2002, Securities Exchange Board of India (SEBI) Rules and Regulations, and Reserve Bank of India (RBI) Regulations, etc.
• Up to date knowledge of current changes to law and jurisprudence.
• Able to deliver work products within specified timelines.

Other Skills:

• Excellent research skills and analytical ability- able to analyze laws, judgements and apply the same for practical use
• Excellent oral and written communication skills. Should be able to articulate.
• Ability to interact with clients confidently and with legal knowledge on a subject.
• Good team player - able to follow instructions from seniors, work with peers and supervise juniors and interns within the team.
• Good turnaround time, detail oriented, has commercial and business acumen, willing to get to the bottom of a problem, not skim it from a height.
• Active participation in KM, writing external and internal articles and papers.
• Able to use the computer, especially the Microsoft Office Suite efficiently.

Experience and Education:

• A five-year law degree from a reputed university with a good academic record.
