Job summary

Vbeyond Corporation is seeking a seasoned consultant to lead Commercial Due Diligence (CDD) for M&A and PE transactions in IT Services, Technology and SaaS, advising on deal rationale, synergy opportunities and risk profiling.

You will perform thorough market sizing, market attractiveness, growth forecasting, competitive benchmarking and customer analysis to inform investment theses and strategic decisions for target companies.

Responsibilities

• Lead Commercial Due Diligence (CDD) for M&A/PE across IT Services, Technology & SaaS.
• Conduct market sizing, market attractiveness, growth forecasting, competitive benchmarking and customer analysis.
• Assess revenue quality, customer concentration, recurring revenue, ARR/MRR, churn, retention and pricing.
• Develop growth thesis, GTM strategy, market-entry strategy and synergy opportunities.
• Evaluate target's business model, service offerings, client portfolio, delivery model and technology capabilities.
• Support deal evaluation, investment thesis, valuation inputs, business planning and financial modelling.
• Support PMI/IMO activities including Day-1 readiness, integration roadmap, governance, TSA, synergy tracking and operating model alignment.
• Identify cost and revenue synergies across technology, sales, operations, finance and support functions.
• Coordinate with IT, Finance, HR, Operations, Sales and Technology teams during post-merger integration.
• Prepare CIMs, management presentations, investment committee materials, deal decks and executive-level recommendations.
• Manage client/C-suite/PE stakeholder interactions and lead junior analysts/consultants.
