The role requires strong knowledge of the Companies Act 2013, MCA regulations, drafting and stakeholder management skills, and the ability to manage board and committee meetings independently.

Qualifications

  • Qualified Company Secretary (ICSI)
  • 5-8 years in Secretarial, Compliance and Corporate Governance
  • Fintech/ NBFC/Financial services experience preferred
  • Strong knowledge of Companies Act 2013 MCA regulations
  • Experience handling Board & Committee meetings independently
  • Excellent drafting, communication and stakeholder management

About the Role

We are looking for a qualified Company Secretary to oversee corporate governance, statutory compliance, regulatory filings, and board-related matters. The ideal candidate should have experience working in fintech, financial services, NBFCs, or regulated entities and possess strong knowledge of corporate laws and compliance frameworks.

Key Responsibilities
Corporate Governance & Compliance
  • Ensure compliance with the provisions of the Companies Act, 2013, and other applicable laws and regulations.
  • Advise management and the Board on corporate governance matters and regulatory requirements.
  • Monitor changes in regulatory and legal frameworks impacting the organization.
Board & Committee Management
  • Organize and manage Board Meetings, Committee Meetings, and General Meetings.
  • Prepare notices, agendas, board papers, minutes, and resolutions.
  • Maintain statutory registers, records, and corporate documentation as required under applicable laws.
Regulatory Filings & Secretarial Functions
  • Ensure timely filing of forms, returns, and disclosures with the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and other regulatory authorities.
  • Handle annual compliance requirements, secretarial audits, and corporate filings.
  • Coordinate with regulators, auditors, legal advisors, and consultants on compliance matters.
Secretarial Audits & Due Diligence
  • Support secretarial audits, legal due diligence, and corporate restructuring activities.
  • Assist in fundraising, investment transactions, mergers, acquisitions, and other corporate actions.
  • Ensure compliance with shareholder agreements, investor rights, and corporate governance commitments.
Stakeholder & Compliance Management
  • Liaise with internal departments including Finance, Legal, Compliance, HR, and Operations.
  • Develop and implement compliance frameworks, policies, and SOPs.
  • Maintain compliance trackers and provide periodic compliance reports to management.
Required Skills & Qualifications
  • Qualified Company Secretary (Member of ICSI).
  • 5-8 years of relevant experience in Secretarial, Compliance, and Corporate Governance functions.
  • Experience in Fintech, Payment Gateway, Payment Aggregator, NBFC, Banking, or Financial Services industry preferred.
  • Strong knowledge of the Companies Act, 2013, Corporate Governance norms, and MCA regulations.
  • Experience in handling Board and Committee meetings independently.
  • Excellent drafting, communication, and stakeholder management skills.
  • Strong attention to detail and ability to manage multiple compliance deadlines.
