Role & responsibilities
To support the Legal Department in drafting, reviewing, negotiating and managing
commercial agreements and other legal documents, while ensuring that the Companys
contractual arrangements comply with applicable laws and adequately protect its legal and
commercial interests.
Key Responsibilities
- 1. Draft, review, vet and negotiate various commercial agreements and legal documents,
- including:
- Non-Disclosure Agreements and Confidentiality Agreements
- Supply, Purchase and Procurement Agreements
- Customer and Vendor Agreements
- Service and Consultancy Agreements
- . Work Orders and Purchase Orders
- Memoranda of Understanding and Letters of IntentLease, Leave and Licence Agreements
- , Technology Transfer, Licensing and Collaboration AgreementsAgency, Distribution and Marketing Agreements
- , Bank Guarantees, Indemnities, Undertakings and other commercial documents
- 2. Identify legal and commbrcial risks in contracts and recommend suitable riskmitigatIon measures.
- 3 . Ensure that agreements adequately cover important provisions relating to limitation of
- liability, indemnity, warranties, confidentiality, intellectual property rights,
- termination, dispute resolution, governing law, force majeure and regulatory
- compliance.
- 4. Coordinate with internal departments, including Purchase, Marketing, Finance,
- Projects, HR and Operations, to understand business requirements and provide
- appropriate legal support.
- Assist in contract negotiations with customers, vendors, consultants and other
- business partners.
- Maintain a centralized database of agreements and monitor renewals, validity periods,
- contractual obligations and important timelines.
- Prepare legal notices, replies, repregentatioris, undertakings, declarations and other
- legal correspondence.
- Coordinate with external advocates and legal consultants in relation to litigation,
- arbitration, recovery proceedings and other legal matters.
- Maintain records of ongoing legal cases and monitor hearing dates, filing
- requirements and compliance with court or regulatory directions.

Qualification: Bachelor’s Degree in Law (LL.B.) from a recognized university
Experience: 3–5 years of relevant post-qualification experience, preferably in the legal
department of a listed company/manufacturing organization or a reputed law firm.
