Job summary

SPIRO is seeking an experienced Legal Manager in Pune, India, with 6–10 years of experience. The role focuses on Corporate Law, M&A, Commercial Contracts and Litigation, preferably with a Tier-1 Indian law firm or reputed corporate legal team.

The candidate will provide high-quality, commercially focused legal advice to the business. The position involves advising on corporate & M&A matters, drafting and negotiating agreements, conducting due diligence, and coordinating with external counsel.

Qualifications

• LLB/LLM from a reputed law school.
• 6–10 years of relevant experience with Tier-1 Indian law firm or reputed corporate legal team.
• Strong experience across Corporate Law, M&A, Commercial Contracts and Litigation.

Responsibilities

• Advise on corporate, commercial and strategic legal matters.
• Handle M&A, investments, joint ventures, restructuring and corporate transactions.
• Conduct legal due diligence and review transaction documentation.
• Draft, review and negotiate transaction-related agreements.
• Coordinate with external legal counsel on complex transactions.
• Draft, review and negotiate commercial agreements, MSAs, vendor agreements, service agreements, NDAs, distribution agreements and other business contracts.
• Identify contractual risks and recommend mitigation.
• Develop and maintain standard legal templates and contract processes.
• Support business teams during commercial negotiations.
• Manage and monitor litigation, arbitration and other disputes.

Key Responsibilities

Corporate & M&A

• Advise on corporate, commercial and strategic legal matters.
• Handle M&A, investments, joint ventures, restructuring and corporate transactions.
• Conduct legal due diligence and review transaction documentation.
• Draft, review and negotiate transaction-related agreements.
• Coordinate with external legal counsel on complex transactions.

Commercial Contracts

• Draft, review and negotiate commercial agreements, MSAs, vendor agreements, service agreements, NDAs, distribution agreements, partnership agreements and other business contracts.
• Identify contractual risks and recommend appropriate mitigation.
• Develop and maintain standard legal templates and contract processes.
• Support business teams during commercial negotiations.
• Manage and monitor litigation, arbitration and other legal disputes.
• Coordinate with external counsel and monitor case strategy and progress.
• Advise management on legal risks, claims and potential disputes.
• Maintain litigation records and provide periodic status reports.

Legal Advisory & Compliance

• Provide day-to-day legal advice to business and functional teams.
• Review applicable laws and regulatory developments relevant to the business.
• Support corporate governance and legal compliance requirements.
• Identify legal risks and recommend practical, business-oriented solutions.

Candidate Profile

• LLB / LLM from a reputed law school.
• 6-10 years of relevant experience, Must be working / have worked with a Tier-1 Indian law firm and/or a reputed corporate legal team.
• Strong experience across Corporate Law, M&A, Commercial Contracts and Litigation.
• Exposure to cross-border transactions will be an advantage.
• Strong legal drafting, negotiation and analytical skills.
• Excellent communication and stakeholder-management capabilities.
• Ability to independently manage multiple legal matters and work with senior management.
