Job summary

Keka HR is seeking an experienced legal professional to lead contract review, drafting, and negotiation for US‑facing SaaS deals. You will standardize processes, advise on risk, and guide cross‑functional teams on compliance and data privacy.

Qualifications include an LLB/LLM (CS preferred) and 5–8 years in a B2B SaaS environment with US exposure. This role reports to the Legal department and focuses on governance, IP matters, and regulatory adherence.

Qualifications

• Requires LLB/LLM or equivalent law degree; CS is a plus.
• 5–8 years in a B2B SaaS company with exposure to US customers is mandatory.
• Knowledge of IP, patents, and trademarks is expected.
• Familiarity with GDPR and data privacy regulations is preferred.

Responsibilities

• Review, draft, and negotiate MSAs and commercial agreements (including US customers).
• Standardize contract management processes, templates, and policies.
• Advise on contract structuring, risk identification, and negotiation strategy.
• Train teams on contracting and compliance best practices.
• Oversee data privacy obligations and regulatory compliance.
• Support due diligence for fundraising and cross‑functional risk mitigation.

• Review, draft, and negotiate customer MSAs and commercial agreements (including US customers).
• Standardize and strengthen contract management processes, templates, and policies.
• Advise internal stakeholders on contract structuring, risk identification, and negotiation strategy.
• Train and guide teams on legal best practices related to contracting and compliance.
• Ensure compliance with applicable laws including Company Law, FEMA, and obligations under Shareholder Agreements (SHA).
• Oversee corporate governance and statutory compliance matters.
• Manage intellectual property matters including trademarks and related filings; coordinate patent-related support as required.
• Ensure adherence to data privacy regulations including GDPR and associated frameworks.
• Partner cross-functionally to proactively identify and mitigate legal risks.
• Support legal due diligence and documentation for fundraising initiatives.

Requirements

Education

• Bachelor’s or Master’s degree in Law (LLB / LLM or equivalent).
• Qualified Company Secretary (CS) certified by The Institute of Company Secretaries of India (ICSI)

Experience

• 5–8 years of legal experience in a B2B SaaS company with exposure to US customers (mandatory).
• Working knowledge of IP, patents, and trademarks.
• Familiarity with GDPR and data privacy regulations is an advantage.
• Strong negotiation, drafting, and stakeholder management skills.
• Excellent written and verbal communication abilities.
