Job summary

Zensar Technologies in India is seeking a dynamic Legal Counsel to support commercial and technology contracts, including MSAs, SOWs, DPAs, NDAs, and software licensing. You will draft, review, negotiate, and advise across a fast-paced, global tech environment.

You will partner with Sales, Procurement, Delivery, HR, and Finance to mitigate risk, advance commercial objectives, and maintain contract playbooks and templates while ensuring regulatory compliance.

Qualifications

• LL.B. / LL.M. from a recognized university.
• 3–8 years of post-qualification experience in a law firm or corporate legal department.
• Strong experience in reviewing and negotiating commercial contracts.
• Excellent understanding of contract law and commercial legal principles.
• Strong communication, stakeholder management, and negotiation skills.
• Ability to work independently and manage multiple priorities in a fast-paced environment.

Responsibilities

• Draft, review, negotiate, and manage commercial contracts with customers, partners, and vendors.
• Support contract negotiations for MSAs, SOWs, NDAs, SaaS and Software Licensing Agreements, DPAs, vendor/subcontractor agreements, and consulting/professional services agreements.
• Provide timely and practical legal advice on contractual, commercial, operational, and compliance-related matters.
• Identify and mitigate legal and business risks while enabling commercial objectives.
• Collaborate with Sales, Procurement, Delivery, HR, Finance, Information Security, and Leadership teams.
• Support privacy, data protection, and regulatory compliance initiatives.
• Develop and maintain contract templates, playbooks, and standard processes.
• Manage contract lifecycle activities and ensure policy compliance.
• Assist in dispute resolution and handling notices, claims, and escalations.

We are looking for a dynamic and business-focused Legal Counsel to join our growing Legal Team in India.

Role Overview:

The Legal Counsel will play a key role in supporting Zensar's commercial and business operations by drafting, reviewing, negotiating, and advising on a wide range of technology and commercial agreements.

The role requires a commercially minded legal professional who can effectively partner with internal stakeholders and provide pragmatic legal solutions in a fast-paced technology environment.

Key Responsibilities:

• Draft, review, negotiate, and manage commercial contracts with customers, partners, and vendors.
• Support contract negotiations for:
  • Master Services Agreements (MSAs)
  • Statements of Work (SOWs)
  • Non-Disclosure Agreements (NDAs)
  • SaaS and Software Licensing Agreements
  • Strategic Partnership Agreements
  • Data Processing Agreements (DPAs)
  • Vendor and Subcontractor Agreements
  • Consulting and Professional Services Agreements
• Provide timely and practical legal advice on contractual, commercial, operational, and compliance-related matters.

• Collaborate closely with Sales, Procurement, Delivery, HR, Finance, Information Security, and Leadership teams.

Required Qualifications :

Preferred Qualifications :
