Job summary

Fair & Just Legal Solutions LLP is seeking a corporate lawyer with 2–3 years of post-qualification experience to handle drafting and due diligence across corporate, banking and finance matters. You will work on share purchase agreements, loan documents, M&A support, and real estate transactions, with opportunities to advise on insolvency issues.

The position requires strong communication and negotiation skills and a background in corporate law practice. CS qualification is an added advantage.

Qualifications

• LL.B. from a reputed university.
• 2–3 years of post-qualification experience in a reputed law firm.
• Experience in handling corporate, banking and finance matters.
• CS qualification will be an added advantage.
• Good knowledge of corporate and banking laws.

Responsibilities

• Drafting and reviewing contracts and agreements, including share purchase agreements, shareholders agreements, escrow agreements, security trustee agreements, project finance documents and loan documents.
• Drafting and reviewing loan agreements, mortgage deeds, hypothecation deeds, trust and retention account/escrow agreements, sale deeds, lease deeds, leave and licence agreements, assignment agreements and related documents.
• Advising and assisting on mergers and acquisitions and real estate transactions.
• Conducting legal due diligence of companies and preparing title due diligence reports.
• Advising and assisting on insolvency matters, including preparation of resolution plans.
• Preparing legal opinions on the Companies Act, 2013, FEMA, SARFAESI, IBC and other banking and commercial laws.
