Job summary

EY in India, part of EY Global Delivery Services (GDS), seeks a Senior Associate - Commercial Contracting to support client and vendor contracts. You will draft, review, negotiate and advise on agreements, while working with senior stakeholders and cross-functional teams to manage risk.

The role offers exposure to global finance and risk management processes within EY’s GCO/GDS ecosystem and opportunities for professional growth.

Qualifications

• Law graduate/LL.B with 3–5 years post-qualification experience in contract review, drafting and negotiation.
• Knowledge of data protection (GDPR/CCPA), privacy and security terms.
• Understanding of compliance concepts such as Independence, Conflicts.
• Experience drafting and negotiating IP terms in contracts.

Responsibilities

• Drafting, reviewing, negotiation, finalization and advisory on vendor agreements, service agreements, framework agreements, proposals, sponsorship contracts, meeting, collaboration and event agreements, and related docs.
• Act as point of contact for EY’s business/procurement teams and support the legal team.
• Understand key business risks and EY's risk management framework.
• Assist with trainings to new joiners and junior team members.
• Coordinate with Independence, onshore legal teams, Security, Privacy and Risk Management.
• Maintain understanding of EY policy and organizational changes.

The opportunity

This is an exciting opportunity to join a fast-growing team within EY. Part of the GDS GCO Enablement team in India, the counsel will work with legal/Global General Counsel’s Office (GCO) attorneys, and support EY’s business on client and vendor contracts. You will provide legal support to the business and become a trusted adviser of stakeholders (often at senior leadership level). You will be expected to assess and understand how risks can be best managed and mitigated

Your Responsibilities

Key responsibilities will include the following:

• Drafting, reviewing, negotiation, finalization and advisory on vendor agreements (including statements of work and terms & conditions), Service agreements, framework agreements, proposals, sponsorship contracts, meeting, collaboration agreements and event agreements, Speaker services agreement, and other ancillary documentation, ad-hoc projects providing risk management advice in relation to each of them.
• Act as point of contact for EY’s business/procurement teams and support the legal team.
• Have a good understanding of general key business risks that need to be managed (training will be facilitated in respect of EY’s specific risk management framework)
• Assist with trainings to new joiners and junior team members.
• Coordinating with internal specialist functions including Independence, onshore legal teams, Security, Privacy and Risk Management
• Maintaining an understanding of the impact of changes in EY policies, organizational structure, and procedures.

Experience And Qualifications

• Law Graduate/LL.B, with 3-5 years of relevant post-qualification experience in contract review, drafting and negotiation experience;
