Job summary

EY seeks a Senior Associate in Commercial Contracting within the Legal service line, part of the GDS Enablement team in India. You will draft, review, and negotiate vendor and service agreements, advising on risk and compliance while coordinating with cross-functional teams and senior stakeholders.

The role emphasizes adherence to EY policies, training juniors, and supporting business procurement. A law degree with 3–5 years' relevant experience is required.

Qualifications

• Law graduate/LL.B with 3–5 years post-qualification experience in contract review, drafting and negotiation.
• Knowledge of data protection (GDPR/CCPA), privacy and security terms.
• Understanding of compliance concepts such as Independence, Conflicts.
• Experience in drafting and negotiating IP terms in contracts.

Responsibilities

• Drafting, reviewing, negotiating, finalization and advisory on vendor agreements (including statements of work and terms & conditions), Service agreements, framework agreements, proposals, sponsorship contracts, meeting, collaboration agreements and event agreements, Speaker services agreement, and other ancillary documentation, ad-hoc projects providing risk management advice in relation to each of them.
• Act as point of contact for EY's business/procurement teams and support the legal team.
• Have a good understanding of general key business risks that need to be managed (training will be facilitated in respect of EY's specific risk management framework)
• Assist with trainings to new joiners and junior team members.
• Coordinating with internal specialist functions including Independence, onshore legal teams, Security, Privacy and Risk Management
• Maintaining an understanding of the impact of changes in EY policies, organizational structure, and procedures.

The opportunity

This is an exciting opportunity to join a fast-growing team within EY. Part of the GDS GCO Enablement team in India, the counsel will work with legal/Global General Counsel's Office (GCO) attorneys, and support EY's business on client and vendor contracts. You will provide legal support to the business and become a trusted adviser of stakeholders (often at senior leadership level). You will be expected to assess and understand how risks can be best managed and mitigated

Your Responsibilities
