Job summary

EY is seeking a Senior Associate in Commercial Contracting for the GDS GCO Enablement Team in India. The role involves supporting EY with client and vendor contracts, advising on risk management, and working with senior stakeholders to mitigate business risks.

The candidate will draft and negotiate various agreements, coordinate with cross-functional teams, and contribute to trainings and policy alignment within EY’s risk framework.

Qualifications

• Law graduate with 3–5 years of post-qualification experience in contract review and negotiation.
• Knowledge of data protection, privacy and security terms (GDPR/CCPA).
• Understanding of compliance concepts such as Independence and Conflicts.

Responsibilities

• Draft, review and negotiate vendor agreements, service agreements and related documents.
• Act as liaison for business/procurement teams and support the legal unit.
• Advise on risk management and assist with trainings for new joiners and juniors.
• Coordinate with onshore teams, Security, Privacy and Risk Management, and monitor policy changes.

The opportunity

This is an exciting opportunity to join a fast-growing team within EY. Part of the GDS GCO Enablement team in India, the counsel will work with legal/Global General Counsel’s Office (GCO) attorneys, and support EY’s business on client and vendor contracts. You will provide legal support to the business and become a trusted adviser of stakeholders (often at senior leadership level). You will be expected to assess and understand how risks can be best managed and mitigated

Your responsibilities

Key responsibilities will include the following:

• Drafting, reviewing, negotiation, finalization and advisory on vendor agreements (including statements of work and terms & conditions), Service agreements, framework agreements, proposals, sponsorship contracts, meeting, collaboration agreements and event agreements, Speaker services agreement, and other ancillary documentation, ad-hoc projects providing risk management advice in relation to each of them.
• Act as point of contact for EY’s business/procurement teams and support the legal team.
• Have a good understanding of general key business risks that need to be managed (training will be facilitated in respect of EY’s specific risk management framework)
• Assist with trainings to new joiners and junior team members.
• Coordinating with internal specialist functions including Independence, onshore legal teams, Security, Privacy and Risk Management
• Maintaining an understanding of the impact of changes in EY policies, organizational structure, and procedures.

Experience and qualifications

• Law Graduate/LL.B, with 3-5 years of relevant post-qualification experience in contract review, drafting and negotiation experience;
• Knowledge of data protection (GDPR/CCPA), privacy and security terms
• Understanding of compliance related concepts such as Independence, Conflicts.
• Experiences in drafting and negotiating IP terms in contracts
