Job summary

EY is seeking an Assistant Manager - Commercial Contracting in India to join the GDS-GCO Enablement team. You will work with legal and GCO attorneys, supporting EY business on client-side or vendor contracts and provide trusted advisory at senior levels.

You will assess risks and mitigate them while contributing to risk management and policy compliance. You will draft and negotiate IT and software contracts, develop AI-related clauses, and advise on responsible AI usage and regulatory

Qualifications

• Law degree with 5–8 years post-qualification experience drafting, reviewing and negotiating technology contracts.
• Experience with US and UK laws is preferred.
• Knowledge of data protection, privacy and security terms.

Responsibilities

• Draft, review, negotiate, finalise and advise on client and procurement contracts, including IT contracts and software licenses.
• Develop, review, and negotiate AI-related contractual clauses to safeguard EY interests.
• Advise business teams on responsible use of AI and regulatory compliance (including EU AI Act).
• Act as a point of contact for EY’s business and procurement teams and support the legal team.
• Understand and manage key business risks within EY’s risk framework and assist training.
• Collaborate with Independence, onshore legal, Security, Privacy and Risk Management.
• Mentor junior team members in day-to-day transactions.

Job Title : Assistant Manager - Commercial Contracting

The opportunity

This is an exciting opportunity to join a fast-growing team within EY. Part of the GDS-GCO Enablement team in India, the role will involve working with legal/Global General Counsel’s Office (GCO) attorneys, and support EY’s business on client side or/and vendor contracts. You will provide legal support to the business and become a trusted adviser of stakeholders (often at senior leadership level). You will be expected to assess and understand how risks can be best managed and mitigated.

Your responsibilities

Key responsibilities will include the following:

• Drafting, reviewing, negotiating, finalising and advising on client and procurement contracts (for EY and its global network member firms) and shall include:
  • IT contracts for multiple EY divisions and variety of technologies (such as AI, robotics, analytics),
  • Software License contracts, Hosted software/hosted services agreements;
  • IT Services agreements; Software support agreements; SLAs
  • Client Contracts (Engagement Agreement, Teaming Agreement, Sub-Contract Agreement, RFPs, Managed Services Agreement).
• Develop, review, and negotiate contractual clauses pertaining to artificial intelligence (AI) to safeguard organizational interests and ensure legal compliance.
• Provide advice to business teams on the responsible use of AI, ensuring compliance with relevant regulations, including the EU AI Act.
• Act as a point of contact for EY’s business/procurement teams and support the legal team.
• Have a thorough understanding of general key business risks that need to be managed (training will be facilitated in respect of EY’s specific risk management framework)
• Assist with creating, facilitating, and delivering training to the team members.
• Collaborating with internal specialist functions including Independence, onshore legal teams, Security, Privacy and Risk Management.
• Maintaining an understanding of the impact of changes in EY policies, organizational structure, and procedures.
• Guiding and handholding the junior team members in their day-to-day transactions.

Experience and qualifications

• Law Graduate/LL.B, with 5-8 years of post-qualification experience in drafting, reviewing and negotiating technology contracts or other complex contracts with an appreciation of general legal and risk management issues. Experience in US and UK laws are preferred
• Experience in dealing with IT contracts - S.I programs, niche projects / agile approach, IT advisory, Program Management / Change around IT programs, Program/software development projects.
• Previous risk management at a professional services firm
• Experience of senior management and stakeholder management
• Interest in the area of risk management or compliance
• Knowledge of data protection (GDPR/CCPA), privacy and security terms
• Confidence delivering subject matter content to peers and seniors (to facilitate training either in person or online)
• Understanding of compliance related concepts such as Independence, Conflicts.
• Holds experience of collaboration in multi-vendor IT landscapes
• Experiences in drafting and negotiating IP terms in contracts
