Job summary

EY India is seeking a Senior Associate - Commercial Contracting to support client and vendor contracts, draft and negotiate SOWs, terms and conditions, and other agreements. You will collaborate with EY's business teams and GCO lawyers to provide risk-informed advice.

The role emphasizes understanding EY policies, privacy and IP terms, and training junior staff, with opportunities to grow within the GDS ecosystem across EY's service lines.

Qualifications

• Law graduate with 3-5 years' post-qualification experience in drafting and negotiating contracts.
• Knowledge of data protection (GDPR/CCPA), privacy and security terms.
• Understanding of compliance related concepts such as Independence, Conflicts.
• Experiences in drafting and negotiating IP terms in contracts.

Responsibilities

• Drafting, reviewing, negotiation, finalization and advisory on vendor agreements (including statements of work and terms & conditions), Service agreements, framework agreements, proposals, sponsorship contracts, meeting, collaboration agreements and event agreements, Speaker services agreement, and other ancillary documentation, ad-hoc projects providing risk management advice in relation to each of them.
• Act as point of contact for EY's business/procurement teams and support the legal team.
• Have a good understanding of general key business risks that need to be managed (training will be facilitated in respect of EY's specific risk management framework)
• Assist with trainings to new joiners and junior team members.
• Coordinating with internal specialist functions including Independence, onshore legal teams, Security, Privacy and Risk Management
• Maintaining an understanding of the impact of changes in EY policies, organizational structure, and procedures.

The opportunity

This is an exciting opportunity to join a fast-growing team within EY. Part of the GDS GCO Enablement team in India, the counsel will work with legal/Global General Counsel's Office (GCO) attorneys, and support EY's business on client and vendor contracts. You will provide legal support to the business and become a trusted adviser of stakeholders (often at senior leadership level). You will be expected to assess and understand how risks can be best managed and mitigated

Your Responsibilities

Experience And Qualifications
