Job summary

Intellectual Capital HR Consulting Pvt. Ltd. in Mumbai seeks a Senior Manager / AVP ECM Execution to lead end-to-end Mainboard ECM transactions, including IPOs, QIPs, OFS, FPOs, and rights issues.

You will coordinate with issuers, legal counsels, auditors, registrars, and market authorities to drive timely execution. The ideal candidate has 6–12 years of experience in Equity Capital Markets, strong SEBI/regulatory knowledge, and proven ability to manage multiple live deals while mentoring junior

Qualifications

• CA / MBA (Finance) / CFA with strong ECM execution experience.
• 6-12 years of relevant ECM execution experience.
• Proven experience in executing Mainboard IPOs and other ECM transactions.

Responsibilities

• Lead end-to-end execution of Mainboard ECM transactions (IPO, QIP, OFS, FPO, Rights Issues, Preferential Allotments).
• Manage transaction timelines and coordinate with issuers, legal counsels, auditors, registrars, syndicate members, stock exchanges, and regulators.
• Drive due diligence processes and ensure timely completion of all transaction deliverables.
• Review and coordinate preparation of DRHPs, RHPs, offer documents, investor presentations, and regulatory filings.
• Liaise with SEBI, NSE, and BSE on transaction-related matters.
• Work with Origination, Syndication, Institutional Sales, Research, and other teams to enable successful execution.
• Mentor junior team members and provide execution guidance across transactions.

Role Overview

We are seeking an experienced ECM Execution professional to lead and manage the execution of Mainboard Equity Capital Market transactions. The role requires extensive experience in handling IPOs and other capital market transactions, managing multiple stakeholders, driving transaction timelines, and ensuring seamless execution from mandate to listing.

Key Responsibilities

• Lead the end-to-end execution of Mainboard ECM transactions, including:

• Manage transaction timelines and coordinate with issuers, legal counsels, auditors, registrars, syndicate members, stock exchanges, and regulatory authorities.


• Drive due diligence processes and ensure timely completion of all transaction deliverables.


• Review and coordinate preparation of DRHPs, RHPs, offer documents, investor presentations, and regulatory filings.


• Liaise with Securities and Exchange Board of India, National Stock Exchange of India, and BSE Limited on transaction-related matters.


• Work closely with Origination, Syndication, Institutional Sales, Research, and other internal teams to facilitate successful transaction execution.


• Manage multiple live deals simultaneously while ensuring adherence to regulatory and compliance requirements.


• Mentor junior team members and provide execution guidance across transactions.

Desired Candidate Profile

• CA / MBA (Finance) / CFA with strong ECM execution experience.


• 6-12 years of relevant experience in Equity Capital Markets Execution.


• Proven experience in executing Mainboard IPOs and other ECM transactions.


• Strong understanding of SEBI regulations, listing regulations, due diligence requirements, and transaction documentation.


• Experience managing interactions with promoters, CFOs, legal advisors, auditors, registrars, and regulators.


• Ability to independently manage transaction workstreams and execution processes.


• Strong project management, communication, and stakeholder management skills.
