GJEPC India (The Gem and Jewellery Export Promotion Council) is seeking a qualified Company Secretary to manage corporate secretarial duties, MCA filings, and governance processes. The role focuses on maintaining statutory records, drafting key documents, and coordinating with regulators and auditors to ensure timely compliance.
Ideal candidates hold ICSI membership with 6–10 years of experience in secretarial and regulatory functions, capable of handling board processes and multiple deadlines
Ensure compliance with the provisions of the Companies Act, 2013, and other applicable statutory and regulatory requirements.
Prepare Notices, Agendas, Resolutions, and Minutes for Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
File statutory e-forms and returns with the Ministry of Corporate Affairs (MCA) within prescribed timelines.
Prepare and submit quarterly statutory compliance reports and other regulatory filings.
Handle incorporation of new companies and ensure compliance with all post-incorporation requirements.
Maintain and update statutory registers, records, and secretarial documentation as per legal requirements.
Liaise with regulatory authorities, government departments, statutory auditors, and internal auditors on compliance-related matters.
Manage and maintain the organization's legal document repository.
Review, draft, and finalize agreements, contracts, and other legal documents.
Draft and amend the Memorandum of Association (MoA), Articles of Association (AoA), Bye-Laws, and internal policies.
Support the development and review of corporate governance and risk management policies.
Handle matters related to the Right to Information (RTI) Act and coordinate responses to statutory requests.
Manage compliance related to Intellectual Property Rights (IPR), including trademarks, patents, and copyrights.
