Job summary

Navi is seeking a qualified Company Secretary (CS) to strengthen corporate governance, secretarial functions, and regulatory compliance in Bengaluru. The role focuses on SEBI, Companies Act, board processes, and audit support.

You will manage board meetings, maintain compliance calendars, oversee statutory filings, and coordinate audits, with BFSI experience preferred.

Qualifications

Responsibilities

  • Prepare Board and Committee documents and filings under the Companies Act, SEBI regulations, and other secretarial functions.
  • Effectively manage the Board, Management Committee, and shareholders meetings.
  • Maintain SEBI/IRDAI/Companies Act compliance calendar and quarterly/half-yearly/annual reports.
  • Coordinate data submissions for statutory, internal, and secretarial audits.
  • Manage website updates to ensure compliance and update statutory registers.

The Legal, Secretarial & Compliance team at Navi serves as a strategic partner to the business, ensuring the company's operations align with legal and regulatory frameworks. The team provides comprehensive legal counsel across various domains, including corporate law, regulatory compliance, and risk management. The team oversees corporate governance, ensuring adherence to statutory obligations and facilitating effective board and shareholder engagements. The team proactively manages compliance across multiple regulated sectors, adapting to evolving regulatory landscapes.

About the Role

This role ensures effective corporate governance by managing secretarial functions, regulatory compliance, Board processes, and audit support, while overseeing statutory filings and records in line with SEBI and Companies Act requirements.

What We Expect From You
  • Preparation of Board and Committee documents, along with filings required under the Companies Act, SEBI regulations, and other secretarial functions.
  • Effective Management of the Board as well as the meetings for the Board of Directors, Management Committee, and shareholders.
  • Maintenance of the SEBI/IRDAI/Companies Act compliance calendar and periodic filing of quarterly, half-yearly, and annual compliance reports.
  • Providing and coordinating for data submissions for statutory, internal and secretarial audits.
  • Manage website updates and maintenance to ensure compliance with SEBI Regulations and the Companies Act.
  • Updating statutory registers and maintaining records.
Must Haves
  • Qualified Company Secretary (CS) professional program, with 1 to 3 years experience .
  • Strong analytical and interpersonal skills with an ability to work and take considered decisions in a fast-paced environment;
  • Exceptional communication (both written and verbal) skills.
  • Candidates having experience in BFSI and Mutual Fund space would be given preference.
