Job summary

What will be your key responsibilities

• Drafting and vetting transactional documents (term sheets, investment agreements, share subscription & shareholders agreements, share purchase agreements, closing documents to the transactions, and the like).
• End-to-end support is provided to the team for the completion of an investment transaction from due diligence, pre-closing, and post-closing transaction-related matters.
• Knowledge and interest in broad areas of corporate and transactional matters, including disclosure and reporting, corporate governance, investments, and general awareness of the nuances of the start-up ecosystem.
• Advice on diverse complex structures based on varied business models with multiple marquee startup founders and investors.
• Strong ability to understand various legal and commercial clauses and advise/negotiate the/for clients.
• Assist on a broad variety of matters from complex matters to routine standard matters: Company Law, Data Protection, Commercial Contracts, Foreign Investments, Acquisitions, Investment Exits.
• Extensive experience in analyzing and responding to regulatory and compliance matters.
• Keeping track of all industry-relevant changes across the specified territories (India and internationally).
• Exposure to cross-functional training including regulatory and finance.
