Job summary

RIIDL seeks a Legal Associate in Mumbai to handle investment and corporate law matters. You will draft, review, and negotiate term sheets, SHAs, CCD/CCPS agreements, SAFEs, and convertible instruments.

You will conduct due diligence, ensure MCA/ROC filings and regulatory compliance, and liaise with external counsel and regulatory bodies on deals.

Qualifications

• LL.B (BA LL.B / BBA LL.B / LL.B) from a recognised university; company secretary or corporate law specialisation preferred
• Experience: 1-3 years in corporate/commercial law, startup legal advisory, or venture capital/PE legal practice

Responsibilities

• Draft, review, and negotiate investment and legal documentation term sheets, SHAs, CCD/CCPS agreements, SAFE notes, and convertible instruments
• Support cap table and deal closing processes, ensuring legal accuracy and compliance across investment instruments
• Conduct legal due diligence on portfolio and prospective startups, including MCA/ROC filings, statutory registers, and corporate structure review
• Monitor and ensure portfolio company legal & regulatory compliance (Companies Act, SEBI AIF regulations, FEMA where applicable)
• Draft and vet grant agreements, MOUs, and institutional contracts related to government schemes (DST NIDHI-PRAYAS, BIRAC, MSINS, SISFS)
• Liaise with external legal counsel, company secretaries, and regulatory bodies on deal execution and compliance matters

• Requisite Experience: 1-3 years in corporate/commercial law, startup legal advisory, or venture capital/PE legal practice
• Other specific required Skills for the Role: Drafting & review of SHA, CCD/CCPS/SAFE agreements, term sheets and MOUs; MCA/ROC company law and compliance knowledge; SEBI AIF framework familiarity; contract negotiation; legal research; attention to detail and documentation discipline
