Job Description
- Lead end-to-end legal support for venture capital and private equity investment transactions.
- Draft, review, negotiate, and finalize transaction documents including Share Subscription Agreements (SSA), Shareholders' Agreements (SHA), Share Purchase Agreements (SPA), and Term Sheets.
- Conduct and manage legal due diligence for investment opportunities.
- Review valuation reports from a legal and compliance perspective.
- Advise on investor rights, governance structures, and investment documentation.
- Draft, review, and negotiate founder employment agreements and other employment-related contracts.
- Prepare and review commercial agreements including service agreements, vendor contracts, marketing agreements, and consultancy contracts.
- Ensure compliance with applicable laws including the Companies Act, FEMA, SEBI (AIF) Regulations, and employment laws.
- Provide legal guidance on corporate governance, compliance, and risk management.
- Coordinate with founders, external counsels, portfolio companies, and internal stakeholders throughout transaction life cycles.
Requirements
- Bachelor's Degree in Law (LL.B.) from a recognized university.
- Minimum 5 years of experience in Venture Capital, Private Equity, Investment Funds, or Corporate Legal roles.
- Strong experience in drafting and negotiating SSA, SHA, SPA, and Term Sheets.
- Proven experience in legal due diligence and transaction advisory.
- Sound knowledge of the Companies Act, FEMA, SEBI (AIF) Regulations, employment laws, and corporate governance.
- Experience reviewing valuation reports from a legal perspective.
- Strong contract drafting, negotiation, and stakeholder management skills.
