Job summary

Cyient Semiconductors in Hyderabad seeks an experienced Associate Corporate Counsel to join the General Corporate & Compliance function, supporting EMEA, APAC and NAM. This role is based in our Hyderabad office and offers exposure to a fast-paced, global environment.

The ideal candidate has 3+ years post-qualification in general corporate law; in-house experience is preferred but not mandatory, with strong cross-border transaction exposure across multiple jurisdictions.

Responsibilities

• Draft, review and negotiate commercial agreements including outsourced services agreements, partnership agreements and reseller agreements.
• Manage buy-side and sell-side contracting and advise on cross-border transactions across EMEA, APAC and NAM.
• Oversee regulatory and contractual compliance including Export Control; support HR/employment, M&A due diligence and disputes with external counsel.
• Collaborate with Operations, HR, Finance, Risk and IT Security; mentor junior counsels and assist with proposal drafting and RFP responses.

Cyient Semiconductors is seeking an experienced and commercially astute Associate Corporate Counsel to join the General Corporate & Compliance function supporting the EMEA, APAC, and North America (NAM) regions. This role is based in our Hyderabad office.

The ideal candidate will be a pragmatic, business-oriented legal professional who thrives in a fast-paced, global environment. The role requires close collaboration with cross-functional stakeholders across jurisdictions, ensuring robust legal support while driving regulatory and contractual compliance.

Experience Required

• 3+ years post-qualification experience in general corporate law
• In-house experience preferred (not mandatory)
• Strong exposure to cross-border commercial transactions

Key Responsibilities

1. Commercial Contracts & Cross-Border Transactions

• Drafting, reviewing, and negotiating commercial agreements including:
• Outsourced services agreements
• Partnership agreements
• Reseller agreements
• Managing both buy-side and sell-side contracting
• Advising on cross-border transactions across EMEA, APAC & NAM
• Keeping abreast of international contracting trends

2. Corporate & Regulatory Compliance

• Managing regulatory and contractual compliance requirements (including Export Control compliance)
• Supporting compliance enforcement across assigned territories
• Developing policies, procedures, and compliance guidelines
• Assisting the global compliance team in territorial oversight
• Managing disputes and litigation matters in coordination with external counsel
• Supporting the Global Legal Head's office on contentious matters
• Advising on HR/employment-related legal matters
• Supporting M&A transactions and related due diligence
• Identifying legal and commercial risks and providing pragmatic solutions
• Delivering clear, actionable legal recommendations to business leaders
• Collaborating closely with Operations, HR, Finance, Risk, and IT Security
• Mentoring and supervising junior counsels
• Supporting proposal drafting and RFP responses
• Operating effectively in a highly matrixed, global organization
• Engaging regularly with stakeholders across multiple jurisdictions
