Job summary

Candescent, a forward-thinking technology company, seeks a Commercial Counsel to handle client contracts and commercial matters in Hyderabad or Bangalore. You will negotiate licensing and sales agreements, draft SOWs and SLAs, and advise the business on risk and regulatory considerations.

The role requires 5+ years in commercial or sales support counsel in the SAAS space, in-house experience, and deep knowledge of privacy laws.

Qualifications

• J.D. from an accredited, top-tier law school with bar admission.
• 5+ years as commercial or sales support counsel in the SaaS space, with in-house experience.
• Deep knowledge of state and global privacy laws.
• Self-starter who works with urgency and proactivly manages timelines.
• Excellent interpersonal and written communication skills.
• Confidence and professionalism in client-facing situations.
• Team player with attention to detail.

Responsibilities

• Negotiate customer licensing and sales contracts, align language and terms while protecting the company.
• Formulate commercial contracts with product exhibits, SLAs, SOWS, etc.
• Negotiate terms with customer counsel to close time-sensitive deals.
• Assist with negotiating customer Data Processing Agreements.
• Advise business clients on interpretation and risk.
• Assist with preparing and updating detailed playbooks to frame risk profile for customer contracts.
• Occasionally assist with partner and vendor agreements.

Commercial Counsel

Candescent works in a dynamic and collegial team of attorneys and contract managers with a mentoring approach from leadership. This position will work on client contracts and commercial matters at Candescent.

Key Areas Of Responsibility

• Negotiate customer licensing and sales contracts, working closely with business to align contract language and financial terms while protecting Candescent from risk
• Formulate commercial contracts with product exhibits, SLAs, SOWS, etc.
• Negotiate terms with customer counsel to close time sensitive deals
• Assist with negotiating customer Data Processing Agreements
• Exercise sound judgment in advising business clients on interpretation and risk
• Assist with preparing and updating detailed playbooks to frame risk profile for customer contracts
• Occasionally assist with partner and vendor agreements

Basic Requirements & Experience

• J.D. from an accredited, top tier law school and admission to a State Bar
• Required:
  • 5+ years as commercial or sales support counsel in the SAAS space with at least 3 years in-house
  • Deep knowledge of state and global privacy laws
  • Self-starter who works with urgency and proactively manages response timelines
  • Excellent interpersonal and written communication skills
  • Confidence and efficacy in client and customer-facing situations, presenting a positive and professional image
  • Team player with attention to detail
  • Continuing willingness to learn and upskill
• Preferred:
  • Knowledge of regulatory law applicable to financial institutions and vendors to financial institutions including Gramm-Leach-Bliley Act, Bank Secrecy Act, Anti-Money Laundering laws, and Know Your Customer obligations
