KaarTech in Chennai seeks a diligent Company Secretary Article Trainee to support secretarial, regulatory and governance functions. You will gain practical exposure to Companies Act compliances, board processes, FEMA matters, and maintenance of statutory records.

Qualifications

  • Pursuing the Company Secretary course and eligible to undertake practical CS training/articleship.
  • Familiarity with MCA filings, Secretarial Standards and FEMA regulations would be an advantage.
  • Strong drafting, research, documentation and organisational skills.
  • Good working knowledge of Microsoft Word, Excel and PowerPoint.
  • High attention to detail, ability to work independently, demonstrate leadership and willingness to take ownership.
  • Clear written and verbal communication skills and ability to coordinate across teams.

Responsibilities

  • Assist in convening and conducting Board, Committee and General Meetings, including preparation of notices, agendas, resolutions, minutes and action trackers.
  • Support statutory filings with the Registrar of Companies and Ministry of Corporate Affairs, including preparation and filing of e-forms and annual returns.
  • Maintain statutory registers, minute books, corporate records, compliance calendars and entity-wise secretarial documentation.
  • Assist with compliances under the Companies Act, 2013, Secretarial Standards and other applicable corporate laws.
  • Assist in maintaining and reconciling the capitalisation table, shareholder records, ESOP data and dematerialisation-related documentation.
  • Support FEMA and Overseas Investment compliances, including documentation and filings related to foreign investment, share transfers, overseas subsidiaries and cross-border transactions.
  • Coordinate with internal teams, auditors, legal advisers, consultants, depositories, registrars, Investors, Directors and other external stakeholders for compliance-related matters.
  • Assist in periodic compliance reviews, due-diligence exercises and remediation of historical documentation or filing gaps.
  • Provide documentation and coordination support for IPO readiness, including governance documentation and responses to diligence requirements.
  • Assist with other secretarial, governance and regulatory assignments as required.

Job description

We are looking for a diligent and motivated Company Secretary Article Trainee to support the organisation’s secretarial, regulatory and corporate governance functions. The role will provide practical exposure to Companies Act compliances, Board processes, FEMA matters, maintenance of statutory records and corporate actions.
