Job summary

Khalifah & Co. seeks an experienced Corporate & Commercial Lawyer to lead complex transactions such as M&A, PMA, JVs and financing, while ensuring regulatory compliance and governance for clients in Indonesia.

The role requires strong contract drafting, due diligence oversight, and strategic advice, with leadership responsibilities over junior associates and interaction with authorities. Excellent English and Indonesian drafting skills are essential.

Qualifications

• Legal professionals with S1 in Law; Master’s degree preferred.
• Active advocate license (KTPA PERADI) and sworn in at the High Court.

Responsibilities

• Lead and manage complex corporate transactions: M&A, restructuring, PMA, JV, and financing.
• Conduct and lead Legal Due Diligence (LDD) and prepare reports.
• Draft, review, and negotiate advanced business and commercial agreements in Indonesian and English.
• Provide legal opinions and strategic advice on regulatory compliance and governance.
• Interact with authorities (Ministry of Law and Human Rights, BKPM/OSS, OJK, KPPU).
• Mentor and supervise Junior Associates and paralegals in the corporate team.
• Manage relationships with corporate clients and stakeholders.

Lead and manage complex corporate transactions, including Merger & Acquisition (M&A), corporate restructuring, foreign direct investment (PMA), joint ventures, and business financing. Provide legal opinions and strategic advice to corporate clients regarding regulatory compliance, good corporate governance, and business risk mitigation.

Key responsibilities

Lead and manage complex corporate transactions, including M&A, corporate restructuring, foreign direct investment (PMA), joint ventures, and business financing

Conduct and lead Legal Due Diligence (LDD) and prepare comprehensive LDD reports

Draft, review, and negotiate advanced business and commercial agreements in Indonesian and English

Provide legal opinions and strategic advice to corporate clients on regulatory compliance, good corporate governance, and business risk mitigation

Interact with and manage licensing and coordination with relevant authorities (Ministry of Law and Human Rights, BKPM/OSS, OJK, KPPU, etc.)

Mentor, supervise, and review work of Junior Associates and paralegals in the corporate team

Manage professional and sustainable working relationships with corporate clients and stakeholders

About you

Minimum S1 degree in Law (S2/Master of Law/LL.M highly preferred and valued)

Minimum 5 years of work experience in Corporate & Commercial Law at a Law Firm

Must have active advocate license (KTPA PERADI/official organization) and sworn in at the High Court (possess BAS)

Deep expertise in contract drafting, limited liability company law, M&A transactions, and investment regulations in Indonesia

Strong legal analysis, commercial negotiation, and problem-solving capabilities

Fluent in English and Indonesian (spoken and written), particularly in contract drafting and formal business correspondence

Leadership qualities, high integrity, attention to detail, and ability to work efficiently under tight deadlines
