Job summary

Associate Legal Counsel with a strong focus on Mergers & Acquisitions to join our growing legal team in Balikpapan. You will provide critical support throughout the M&A lifecycle, from due diligence and structuring to negotiation and closing, coordinating with deal teams, business leaders, and external advisers to ensure compliant transactions.

Ideal candidates are admitted to practice in Indonesia, with 2–5 years in M&A or corporate finance law, exposure to energy sector transactions, and

Qualifications

• Admitted to practice law in Indonesia.
• 2-5 years of experience in M&A or corporate finance law.
• Solid understanding of M&A transaction processes, documentation, and deal structuring.

Responsibilities

• Assist in conducting legal due diligence for potential acquisition targets.
• Draft, review, and negotiate M&A agreements, including term sheets and purchase agreements.
• Provide legal advice on transaction structuring and regulatory compliance matters.
• Coordinate with internal and external parties throughout M&A processes.
• Manage post-closing integration activities from a legal perspective.
• Conduct legal research on securities law, corporate governance, and related issues.
