Job summary

Ey, a leading multinational corporation, seeks an experienced Legal Counsel specializing in Mergers & Acquisitions. This fully remote role allows you to contribute from anywhere in Indonesia and to guide structuring, due diligence, closing, and post-merger integration with internal teams and external advisors.

You will advise on transactions, draft and negotiate key documents, ensure compliance with Indonesian law, and manage external counsel.

Qualifications

• LL.B. degree from a recognized university.
• At least 6 years of M&A experience.
• End-to-end M&A transaction management.
• Knowledge of Indonesian corporate, securities, and contract law.
• Excellent negotiation and drafting skills.
• Fluent in English and Bahasa Indonesia.

Responsibilities

• Advise on the legal aspects of M&A, including acquisitions, mergers, joint ventures, and divestitures.
• Conduct comprehensive legal due diligence for target companies.
• Draft, review, and negotiate SPAs, term sheets, and disclosure letters.
• Manage the legal aspects of deal execution, working with internal stakeholders and external counsel.
• Provide legal support for post-merger integration activities.
• Ensure compliance with Indonesian laws and regulations pertaining to M&A.
• Identify and assess legal risks and develop mitigation strategies.
• Liaise with regulatory bodies as required during the transaction process.

Requirements

• A Bachelor of Laws (LL.B.) degree from a recognized university.
• A minimum of 6 years of relevant experience in M&A law, gained at a reputable law firm or in-house at a multinational company.
• Demonstrated experience in managing end-to-end M&A transactions.
• Strong understanding of corporate law, securities law, and contract law relevant to M&A.
• Excellent negotiation and drafting skills for transaction agreements.
• Proficiency in conducting legal due diligence.
• Ability to work independently and manage complex projects in a remote setting.
• Exceptional analytical, problem-solving, and critical thinking abilities.
• Fluent in English and Bahasa Indonesia, both written and verbal.
• Experience with regulatory filings and approvals in Indonesia is a plus.
