Key Responsibilities:
Manage corporate governance, corporate compliance, and statutory matters for PT Bahtera Bumi Raya Tbk and its subsidiaries.
Maintain Articles of Association, deeds, AHU SK, shareholder information, and Board of Directors/Board of Commissioners records.
Manage the corporate compliance calendar and follow up on GMS/RUPS, annual approvals, AHU filings, Beneficial Owner updates, and other statutory requirements.
Draft and review shareholder circular resolutions, GMS/RUPS documents, and Board resolutions.
Coordinate with notaries on amendments to Articles of Association, share transfers, changes of Directors/Commissioners, establishment of new companies, and other corporate matters.
Support Corporate Actions, related-party transactions, material transactions, and other listed-company matters.
Maintain corporate legal registers and identify potential legal and compliance risks.
Requirements:
Bachelor's Degree in Law (S.H.).
3–6 years of corporate legal experience, with proven experience in a publicly listed company (Tbk) or handling listed-company matters.
Hands-on experience in corporate maintenance, notarial matters, and AHU filings.
Strong understanding of UU No. 40 Tahun 2007 and Indonesian corporate governance regulations.
Familiarity with OJK and IDX regulations, GMS/RUPS, Corporate Actions, and listed-company compliance.
Strong Indonesian and English communication skills; Mandarin proficiency is preferred.
Detail-oriented, highly organized, and able to manage multiple corporate matters and deadlines.
Key Responsibilities:
Draft, review, and revise daily contracts and legal documents in Indonesian, English, and bilingual formats.
Handle NDAs, powers of attorney, declarations, corporate correspondence, and other legal documents.
Provide legal support and conduct legal research for business departments.
Prepare concise legal opinions supported by clear legal grounds.
Participate in legal due diligence and transaction document reviews for investment and acquisition projects.
Coordinate with external counsel on employment disputes and other contentious matters.
Manage contracts, licenses, deeds, powers of attorney, legal registers, archives, and document version control.
Manage the issuance, validity, and revocation of powers of attorney.
Requirements:
Bachelor's Degree in Law (S.H.).
2–5 years of experience in contract drafting and review, either in a law firm or as in-house legal counsel.
Good understanding of Indonesian contract law, UU No. 24 Tahun 2009, and basic company law principles.
Experience in mining, energy, natural resources, or Chinese-invested companies is preferred.
Strong written Indonesian and English skills, Mandarin proficiency is preferred.
Strong attention to detail, document management, and deadline management skills.
Key Responsibilities:
Manage OSS-RBA, NIB, KBLI, business licenses, Sertifikat Standar, and sector-specific licenses for Group companies.
Handle periodic LKPM reporting and maintain submission records.
Monitor OSS notifications, regulatory requirements, warnings, and compliance matters.
Coordinate with Ministry of Investment and Downstream Industry/BKPM, DPMPTSP, ESDM/Minerba, AHU, and other relevant government authorities.
Handle licensing applications, amendments, renewals, government meetings, inspections, and regulatory communications.
Coordinate with licensing agents and external consultants and follow up on application progress.
Maintain complete licensing records and status tracking.
Translate important government and regulatory documents between Chinese and Indonesian.
Explain regulatory requirements, application progress, and outcomes to Chinese-speaking management.
Requirements:
Bachelor's Degree in Law, Public Administration, or a related field.
2–5 years of relevant experience in business licensing, government relations, or licensing consultancy.
Practical experience with OSS-RBA, LKPM, NIB, KBLI, and business licensing.
Experience with Minerba, mining, energy, or natural resources licensing is preferred.
Familiar with PP No. 28 Tahun 2025 and current investment and business licensing regulations.
Mandarin is mandatory, with the ability to communicate professionally and read Chinese documents.
Basic working English skills.
Strong follow-up, coordination, and record-keeping skills.
