Job summary

MatchaTalent is seeking a meticulous Corporate Secretary to support secretarial, regulatory compliance, licensing, and board administration in Indonesia. The role reports to the Legal Manager and engages with regulators, external counsel, and cross-border Group stakeholders.

The ideal candidate has 3+ years in a publicly listed company, with hands-on IDXnet/SPE-OJK/KSEI experience and strong knowledge of Indonesian Company Law and capital market rules. On-site in North Jakarta preferred.

Qualifications

  • Minimum Bachelor’s Degree in Law (S1 Hukum).
  • Minimum 3+ years of experience as a Corporate Secretary, Legal Officer, or Compliance Officer within a publicly listed company (PT Tbk).
  • Hands-on experience with IDXnet, SPE-OJK, KSEI, OSS RBA, and AHU Online.
  • Strong understanding of Indonesian Company Law, OJK/IDX regulations, capital market compliance, POJK 17, POJK 42, and relevant labor regulations.
  • Experience handling GMS/RUPS documentation, corporate filings, commercial contracts, and corporate licensing.
  • Familiarity with corporate actions, material transactions, affiliated transactions, investment, financing, or M&A activities is preferred.
  • Strong regulatory monitoring, legal research, documentation, and risk assessment capabilities.
  • Fluent English proficiency, both written and spoken; Mandarin proficiency is an advantage.
  • Meticulous, highly organized, detail-oriented, and capable of managing multiple regulatory deadlines.
  • High integrity, strong communication skills, and ability to coordinate effectively with management, regulators, external counsel, and cross-border stakeholders.

Responsibilities

  • Manage day-to-day corporate secretarial and public company compliance activities in accordance with applicable laws and OJK/IDX requirements.
  • Handle regulatory submissions and maintain corporate information through platforms including IDXnet, SPE-OJK, KSEI, OSS RBA, and AHU Online.
  • Maintain corporate records, statutory documents, corporate licenses, permits, shareholder information, and master corporate ledgers.
  • Support the preparation and execution of General Meetings of Shareholders (RUPS/GMS), including documentation, announcements, resolutions, and regulatory filings.
  • Draft, review, and maintain commercial, employment, vendor, investment, and capital-market-related legal documents.
  • Monitor the validity and compliance status of corporate licenses, permits, and company profiles registered with relevant government authorities.
  • Monitor changes in Indonesian Company Law, Capital Market regulations, OJK/IDX rules, BKPM/OSS regulations, PMA policies, and labor regulations.
  • Prepare legal and regulatory updates, risk assessments, and policy interpretations for management and Group stakeholders.
  • Support the handling of commercial, employment, and regulatory disputes and coordinate with external legal counsel where required.
  • Provide support for material transactions, affiliated transactions, corporate actions, investment activities, financing, and M&A-related legal due diligence.
  • Coordinate with OJK, IDX, KSEI, BKPM/OSS, Kemenkumham/AHU, external counsel, notaries, and other relevant stakeholders.
  • Coordinate corporate legal and regulatory matters between the Indonesian entity and China-based Group stakeholders.

The company serves major domestic and international investment projects and operates within a highly regulated public-company and foreign investment environment.

As a publicly listed entity with cross-border business operations and Chinese investment stakeholders, the company places strong emphasis on corporate governance, regulatory compliance, transparent reporting, and effective coordination between its Indonesian operations and overseas Group leadership.

Job Role

The Corporate Secretary is responsible for supporting the company's corporate secretarial, regulatory compliance, licensing, and board administration functions in accordance with Indonesian Company Law, Capital Market regulations, and OJK/IDX requirements.

Reporting to the Legal Manager and Head of Legal, this role serves as a key operational point of contact for regulatory submissions, corporate documentation, public company reporting, licensing administration, and coordination with regulators and external legal stakeholders.

The position requires a meticulous legal professional with hands‑on experience in corporate secretarial or compliance functions within a publicly listed company. The ideal candidate should be comfortable managing regulatory platforms, corporate records, GMS/RUPS documentation, and cross‑border coordination with Group stakeholders.
