• Experience in investments, M&A, asset acquisitions, corporate transactions, and legal due diligence preferred.
• Experience handling shipping, vessel, chartering, transportation or maritime agreements is an advantage.
• Strong ability to draft, review, and negotiate commercial and corporate legal documents.
• Experience working with notaries, external lawyers, government authorities, and other professional institutions.
• Strong legal research, analytical, negotiation, and problem-solving skills.
• Good communication and coordination skills with Chinese and Indonesian management teams.
• Mandarin-speaking candidates preferred.
• Good English communication skills, including reading and drafting legal documents.
• Strong sense of responsibility, attention to detail, and ability to work under pressure in a fast-paced environment.
• Willingness to travel to mining sites, ports, vessels, or other project locations when required.

Job description

We are looking for an experienced Legal Manager to oversee and manage the company’s legal matters in the Mining & Shipping industry.

You will provide legal support and advice on corporate and commercial matters, contracts, investments, M&A, asset acquisitions, legal due diligence, and shipping-related transactions. You will also work closely with management, internal teams, external legal counsel, notaries, and government authorities.

This role is ideal for a senior legal professional with strong knowledge of Indonesian laws and experience in corporate transactions, contracts, and regulatory compliance. Experience in the mining and/or shipping industry is highly preferred.

Key Responsibilities:

Manage and oversee the company’s day-to-day legal matters and provide practical legal advice to management and business teams.

Draft, review, negotiate, and manage commercial and corporate agreements.

Provide legal support for investments, M&A, asset acquisitions, shipping, vessel-related matters, and other corporate transactions.

Conduct and coordinate legal due diligence for potential investments, acquisitions, and business transactions.

Provide legal advice on Indonesian corporate, commercial, mining, shipping, maritime, employment, and regulatory matters.

Review and manage agreements related to shipping operations, including vessel-related contracts, chartering arrangements, transportation agreements, and other relevant commercial agreements.

Handle corporate governance matters, including shareholder and board approvals, corporate authorizations, and related documentation.

Coordinate with notaries, external legal counsel, government authorities, port authorities, and other professional advisers when required.

Identify legal and regulatory risks and provide practical solutions to minimize the company’s exposure.

Monitor changes in Indonesian laws and regulations relevant to the company’s mining and shipping operations.

Manage legal disputes, claims, and other legal matters in coordination with external counsel when necessary.

Establish and maintain proper legal documentation and contract management systems.

Lead and manage the legal team to ensure legal matters are handled efficiently and within the required timelines.

Provide legal support for new projects and perform other duties as assigned by management.

Requirements:

Bachelor’s degree or above in Law.

Minimum 5–8 years of relevant legal experience; experience in a managerial or senior legal position is preferred.
