Qualifications

  • Bachelor's Degree in Law
  • Minimum 8 years of experience in Legal, with at least 4 years in a Managerial Level
  • Strong experience in Commercial Legal and Corporate Legal
  • Proven experience in contract drafting, contract review, contract negotiation, and legal advisory
  • Experience in trading, distribution, manufacturing, engineering, EPC, construction, or industrial/B2B businesses is highly preferred
  • Strong understanding of commercial agreements, tender/project contracts, procurement, sales transactions, corporate law, and business compliance
  • Experience in handling legal disputes, litigation, and non-litigation matters
  • Strong skills in legal analysis, risk assessment, negotiation, and problem-solving
  • Ability to provide practical and business-oriented legal advice to Management and non-legal stakeholders
  • Strong leadership, stakeholder management, and team management skills
  • Excellent communication and negotiation skills
  • Detail-oriented, highly responsible, and able to work effectively under deadlines
  • PERADI/Advocate License is an advantage
  • Experience handling legal matters across multiple entities/subsidiaries is an advantage

Responsibilities

  • Lead and manage the Legal function within Arita Group and provide legal advisory to Management and business functions.
  • Draft, review, and negotiate various commercial agreements, including sales agreements, purchase agreements, vendor/supplier agreements, distributor/principal agreements, NDAs, MoUs, and partnership agreements.
  • Provide legal support for sales, procurement, tender, project, partnership, and commercial transactions.
  • Identify, assess, and provide mitigation recommendations for legal risks that may impact the business.
  • Ensure that contracts and business activities comply with applicable laws and regulations while protecting the Company's interests.
  • Provide legal advisory on corporate matters, including corporate governance, corporate documentation, corporate changes, and legal matters involving subsidiaries/entities.
  • Manage and coordinate legal disputes, litigation, and non-litigation matters.
  • Coordinate with external lawyers/law firms in handling specific legal matters and disputes.
  • Monitor changes in laws and regulations relevant to the Company's business activities and provide recommendations to Management.
  • Develop and ensure the implementation of legal policies, SOPs, contract templates, and legal guidelines across the Group.
  • Maintain proper legal documentation and ensure that all legal records are well-organized and properly maintained.
  • Lead, develop, and provide guidance to the Legal team.
  • Collaborate closely with Sales, Procurement, Finance, HC, Operations, and Management to provide practical legal solutions to business needs.

Requiremnets:
