PT Mineral Alam Abadi (Mineral Alam Abadi Group) seeks a seasoned Corporate Legal professional to lead legal matters, including corporate actions, drafting and negotiating critical agreements, and providing strategic legal guidance across business units. You will coordinate with notaries, regulators, and external counsel to ensure compliant transactions.
The role requires 4–5 years in corporate in-house practice, a law degree, and ideally an advanced degree in law.
Handle corporate legal matters, including but not limited to corporate actions such as acquisitions, mergers, corporate restructuring, and other corporate transactions.
Draft, review, negotiate, and manage agreements and legal documents to support the Company’s business needs.
Provide legal advice, identify legal risks, and recommend appropriate mitigation measures in relation to business transactions and corporate activities.
Coordinate with management, Notaries, external legal counsel, regulators, and other external parties in the execution of corporate legal matters and transactions.
Minimum Bachelor’s Degree in Law (S1 Hukum). A Master’s Degree in Law, Master of Notarial Law, or a related legal/business field is an advantage.
Minimum 4–5 years of experience in Corporate Legal/In-House Legal, preferably within the mining, natural resources, energy, manufacturing, or corporate group environment; alternatively, at least 3 years of experience in legal practice/lawyering.
Strong understanding of corporate law, commercial law, corporate governance, and business regulations in Indonesia.
Proven experience in handling corporate actions, including General Meetings of Shareholders (GMS/RUPS), amendments to Articles of Association, changes in the composition of the Board of Directors/Board of Commissioners, corporate restructuring, and other corporate transactions.
Proven experience in drafting, reviewing, negotiating, and managing commercial and corporate agreements.
Experience in conducting legal due diligence and legal reviews for business transactions, investments, acquisitions, and other forms of business cooperation.
Strong ability in legal research, legal analysis, and providing legal advice to management and business units.
Experience in coordinating with Notaries, external legal counsel, government authorities/regulators, shareholders, the Board of Directors, and the Board of Commissioners.
Strong contract negotiation skills with the ability to identify and mitigate legal risks in transactions.
Good understanding of licensing/permits, legal compliance, and legal risk management.
Detail-oriented, proactive, accountable, and highly ethical, with a strong understanding of business operations.
Good command of English, both written and spoken, particularly in drafting and reviewing legal documents. English proficiency certification is an advantage.
Possessing an Advocate License and/or PKPA certification is required.
