Job summary

Clifton Search is assisting a UK-based client to appoint a Senior Sole Counsel to lead the legal function for a newly acquired software/tech division. This standalone role reports to an internationally based CEO and involves close collaboration with global teams.

You will oversee a broad range of commercial agreements, international contracts, data protection, and IP matters, requiring hands-on leadership and strategic risk management in a borderless business environment.

Qualifications

• UKQualified Solicitor with senior leadership experience in software/tech environments.
• Experience advising on international contracts or contracts governed by foreign laws.
• Strong negotiation skills, capable of handling high-value commercial transactions.

Responsibilities

• Full legal responsibility across the newly acquired organisation.
• Advising, negotiating and leading on a wide range of commercial contracts.
• Lead experience with international contracts, including cross-border matters.
• Advising on software licensing, SaaS/IaaS/PaaS agreements, and data protection issues.
• Lead privacy/compliance efforts under applicable laws.
• Developing and guiding AI/ML regulatory strategy.
• IP portfolio management.
