Job summary

Sphera is seeking an experienced Corporate Counsel to partner with senior leaders and support global commercial operations. You will advise on complex contracts, cross-border matters, data privacy, IP and governance, and help shape scalable policies with the legal team.

The role requires a JD, at least 6 years in-house experience with multinational teams, strong writing and negotiation skills, and the ability to communicate complex issues to business colleagues.

Qualifications

• JD or other equivalent law degree required.
• Licensed to practice law in the applicable jurisdiction.
• 6+ years of relevant experience, including in-house at a multinational company; additional law firm or equivalent experience.
• Excellent writing, negotiation and drafting skills.
• Experience with cross-border SaaS/commercial contracts (SaaS experience preferred).
• Knowledge of data privacy, security, IP issues relevant to SaaS/software providers.

Responsibilities

• Partner with senior legal team members to support commercial needs of Sphera’s global operations.
• Provide counsel to HR, Finance, IT, Services, Product or Marketing teams on legal matters (employment law, IP, privacy, compliance, governance).
• Interact with global outside counsel as appropriate.
• Review and prepare complex commercial agreements (SaaS/software, services, licensing, vendor agreements) with global scope.
• Support implementing and maintaining team processes aligned with business strategy.
• May manage contract managers or paralegals.
• Ensure day-to-day work aligns with company policies.
