Job Description

Role Overview:

The European Legal Director is the principal point of contact for all day-to-day European legal matters in Greenhill’s European offices. Reporting directly to the General Counsel for Europe, this role will be based in our xx office.

Discretionary annual bonus and attractive benefits package including pension plan and private medical insurance.

Key Responsibilities
  • Reviewing and negotiating all legal documentation including business side (e.g., engagement letters, NDAs) across Europe, and globally as required.
  • Managing and overseeing the Firm’s European supplier onboarding according to relevant compliance and regulatory requirements, including supplier due diligence to ensure compliance with GDPR, UK Modern Slavery Act, and anti-money laundering legislation.
  • Reviewing supplier contracts and contractual wording to ensure compliance with GDPR.
  • Supporting the banking team in UK sponsor and UK Code transactions, and other similar transactions in Europe.
  • Providing company secretarial support for all European entities and Cayman, maintaining company books, registers, and filings.
  • Ensuring compliance with all corporate filings, monitoring legal developments, and implementing new policies and procedures.
  • Reviewing and updating firm manuals, procedures, and policies.
  • Coordinating with global legal and operations teams based in New York.
  • Developing and delivering training programmes on European legal and regulatory obligations.
  • Handling interactions with regulatory agencies, including audits and inquiries.
  • Preparing management reports and working on significant corporate initiatives and projects.
  • Providing legal support to HR and operational teams as needed.
  • Participating in senior management committees as required.
Knowledge and Experience
  • Excellent academic record and qualified lawyer with corporate finance experience.
  • Transactional experience in public and private M&A, with knowledge of relevant regulations such as Listing Rules, Prospectus Rules, etc.
  • Language skills in German, French, or Spanish are helpful but not essential.
  • Proficiency in Outlook, Word, and Excel.
  • Strong organizational, communication, and interpersonal skills.
  • Ability to work independently, prioritize tasks, and maintain confidentiality.
  • Flexible and adaptable team player.
