Role overview:

Introduction to the role: We seek a talented corporate lawyer to join our established corporate team in London. You will work closely with the Head of Corporate Healthcare, Monica Macheng, focusing on mergers and acquisitions (M&A) for clients in the independent health & social care sector, while collaborating with the wider corporate team on various matters.

Introduction to the team: Our experienced corporate team operates from offices in Liverpool, Manchester, London, Leeds, Hong Kong, and Singapore, advising a diverse client base including large companies, private equity funds, startups, and owner-managed businesses on domestic and international transactions.

Key responsibilities:

  • Supporting and leading on mergers, acquisitions, disposals, reorganisations, and investments within the healthcare sector
  • Handling acquisitions and disposals of businesses, assets, or shares
  • Conducting due diligence, data room reviews, and disclosure processes
  • Preparing disclosure letters and supporting documents
  • Reviewing and drafting investment and ancillary transaction documents
  • Engaging in general corporate work such as restructurings, shareholders agreements, joint ventures, and LLP agreements
  • Supporting business development and tender processes

What are we looking for:

Essential:

  • Law degree or equivalent
  • Proven experience in M&A or private equity transactions
  • Excellent communication skills, both written and verbal
  • Strong organizational skills and ability to prioritize
  • Proficiency with document management systems
  • Ability to manage a caseload independently and provide sound commercial advice
  • Strong technical skills and a willingness to learn
  • Adherence to guidelines and procedures
  • Understanding of client needs and expectations
  • Flexibility to work outside normal hours if required
