Exciting new opportunity for a Company Secretarial Assistant
Join our Company Secretariat Department to provide company secretarial and compliance support. The role primarily involves managing property entities for over thirty management companies across various clients.
Responsibilities
- Assist in administering UK companies, including maintaining statutory books and registers, and ensuring compliance with Companies House regulations such as preparing and filing annual accounts and compliance statements within deadlines.
- Obtain necessary shareholder and director approvals, organize meetings, prepare agendas, resolutions, and minutes.
- Manage appointment and resignation of directors, ensuring approvals under the Articles of Association are obtained.
- Maintain company share registers, oversee share transfers, and prepare legal documents, advising on signatories and filing necessary approvals.
- Update and manage company secretarial software.
- Draft routine client reports and handle inquiries from tenants, suppliers, directors, shareholders, and legal representatives.
- Advise directors on their duties, ensure compliance with legislation and articles of association.
- File and retain documents, ensuring the efficient operation of the Secretariat department.
- Assist finance and audit teams with annual accounts and service charge budgets, arrange approvals, and handle invoicing.
- Draft legal documents, oversee property ownership changes, liaise with solicitors, and conduct AML checks.
- Coordinate with Property and Park teams to ensure compliance with service agreements and approval processes.
- Assist auditors, JV partners, and related parties.
What We Expect From You
- Strong organizational and administrative skills with high accuracy and attention to detail.
- Ability to work independently, with excellent interpersonal and communication skills.
- Experience in a similar role, preferably with company secretarial, legal, or property background. Professional accreditation or part qualification is desirable.
