Job Description:

A UAE-based tier 1 Venture Capital fund is looking for a Legal Associate to join the team. The Legal Associate will provide expert corporate and transactional legal advice, covering transactions, commercial agreements, and internal affairs. The team invests in venture capital, private equity, and private credit.

Role overview:

• Provide legal advice and services on investments, including managing legal processes and due diligence for strategic investments.
• Draft and negotiate term sheets and definitive documents for investments, partnerships, and commercial projects.
• Conduct due diligence on potential investments, ensuring compliance with legal and regulatory requirements.
• Identify and mitigate legal risks associated with investment strategies, transactions, and portfolio management.
• Advise on shareholder and board matters, monitor and review communications from portfolio companies.
• Liaise with external service providers (legal counsel, fund administrators, auditors, etc.).
• Review and implement internal policies, including employment and financial compliance policies.
• Assist with investor relations and reporting, ensuring legal compliance.
• Provide general legal advice on commercial and contractual issues.
• Research legal issues as needed, including new initiatives.
• Stay updated on securities laws, financial regulations, and compliance requirements relevant to investment activities.

Requirements:

• 2+ PQE with experience in venture capital, private equity, and M&A transactions, from a leading law firm or top-tier investment firm.
• Degree from a leading law school with excellent academic credentials.
• Strong business, commercial judgment, and project management skills.
• Excellent oral and written communication skills; fluency in English is essential; Arabic is desirable.
• Strong ethics and ability to handle confidential data.
