Job Description

The Corporate Associate will handle varied matters:

  • Advise clients and execute capital markets transactions, assisting clients with their compliance, SEC, FINRA, Stock Exchange and other related securities matters.
  • Assist clients with IPO and SPAC work, secondary offerings, resales, registered direct offerings, PIPE financings, private placements and sales of securities.
  • Draft and review complex legal documents including registration statements, private placement memorandum, purchase agreements, warrant agreements, convertible notes, registration rights agreements and other documents required for offerings of securities.
  • Assist clients with forming new entities, LCC agreements and related documents.
  • Draft and review comfort letters, cirlce ups, legal opinions and certificates.
  • Work with issuers, investment banks, auditors and financial advisers, managing deal execution.
  • Communicate on behalf of clients with SEC, FINRA and Stock Exchanges to obtain required clearances.
  • Draft compliance documents for NYSE and NASDAQ filings.
  • Assist clients with preparing and drafting public disclosures, securities filings, proxy statements, Forms 10-K, 10-Q, 8-K and Section 16 filings.
  • Build and maintain strong client relationships through effective communication and legal expertise.
  • Stay updated on emerging legal trends and regulatory changes in the capital markets industry.

Candidates must be based in New York/ Tri-State area, able to work from the Midtown office 3-4 days per week, and have US work authorization now and indefinitely.

The Successful Applicant

The successful Corporate Associate should have:

  • A Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar - in good standing.
  • Relevant mid-size or big-law experience (2nd-5th year) with strong knowledge of capital markets and securities regulations, including SEC compliance. IPO and SPAC experience beneficial.
  • Proven ability to draft and negotiate complex legal agreements.
  • Excellent research, analytical, and communication skills.
