Job Description

U.S. Bank Global Corporate Trust Services is a leading provider of corporate trust services worldwide, including trustee, agency, escrow, document custody, and money market services through our extensive domestic and international offices.

We seek an experienced Relationship / Transaction Manager focused on CLO and Structured Finance. The role involves reviewing and negotiating transaction documents in compliance with U.S. Bancorp policies, regulations, and industry standards.

Accountabilities
  • Review and negotiate transaction documents, ensuring compliance with policies and regulations.
  • Control risk language and assess trustee or agency duties during closings, restructurings, amendments, or document supplements.
  • Conduct pre-closing document reviews, oversee closing activities, and perform initial account reviews.
  • Prepare trustee or agent documents for closings, negotiate comments with counsel, and attend closings.
  • Build and maintain relationships with legal counsels, clients, and underwriters.
  • Coordinate with internal teams on issues and risk-related matters for assigned clients.
  • Stay informed about industry changes and market developments to enhance service offerings.
  • Serve as the primary contact for clients regarding questions, issues, and education.

  • Understanding of CLO, structured finance, loan servicing, and related regulations.
  • Strong negotiation and conflict management skills.
Qualifications
  • Bachelor’s Degree and/or 5-7 years of relevant experience.
  • Legal education or experience and capital markets documentation expertise are highly beneficial.
