Spiko in Paris is scaling fast and seeks a Product Legal Counsel to own legal and regulatory work behind our Embedded partnerships with fintechs. You’ll work closely with the Head of Legal & Compliance and cross-functional teams to draft agreements and ensure regulatory alignment across jurisdictions.

You will oversee product structuring, contract negotiations, and proactive regulatory engagement (MiFID, PSD2/EMD2, DORA) to support fast, compliant product launches.

Qualifications

• Academic background in law or banking/financial law.
• At least 5 years as product/commercial legal counsel in fintech or financial services.
• Strong understanding of MiFID/MiFIR, PSD2/EMD2, MiCA, DORA.
• Track record leading complex B2B negotiations between fintechs or financial institutions.

The role: Product Legal Consel

Spiko is scaling fast. Launching new products and closing commercial partnerships with fintechs is a key part of our strategy.

Our flagship product is Spiko Embedded. Spiko Embedded lets partners offer institutional-grade yield to their customers through our API - fintechs, wealth managers, benefits, and treasury platforms: anywhere client money sits idle. It's our newest distribution line, alongside Spiko Direct, and strategically key: the cash we are targeting with Spiko Embedded sits behind other companies' products.

Every Embedded partnership is a complex B2B negotiation with another fintech, spanning commercial terms, regulatory structuring across jurisdictions, and product customisation. We need someone to own the legal and regulatory work behind it.

You’ll report to the Head of Legal & Compliance, and join as one of the early members of the legal team. Day-to-day, you’ll work hand in hand with the Head of Spiko Embedded, and closely with the Embedded Sales, Partnership, and Product teams.

Success means Spiko can design, structure, and launch Embedded partnerships with tier-1 fintechs on schedule, with the legal and regulatory groundwork in place from day one.

Key Responsibilities

Legal lead on Spiko Embedded

• You will draft, review, and negotiate the partnership agreements underlying Spiko Embedded: distribution agreements, SLAs, data and marketing appendices, and the partner-specific terms each deal requires.

• You will structure each partnership against the applicable regulatory model and translate that into contract and product requirements.

• You will engage with Product and Engineering early so that partner needs and regulatory constraints are reflected in how the product is built, and so each integration is faster than the last.

• You will be the legal counterpart for our partners' legal and compliance teams throughout negotiation and onboarding.

Product Development & Legal Structuring

• Beyond Spiko Embedded, you will lead the legal review and structuring of new products and features, partnering with Product and Engineering from early design through launch.

• You will proactively engage with EU and UK regulators to make sure new products are built in a way that is consistent with applicable financial regulation (MiFID, PSD2/EMD2, DORA), working closely with the Regulatory Counsel where licensing or passporting is involved.

Regulatory & Product Compliance

• In partnership with the Compliance team, you will handle the regulatory compliance of our products, including drafting/updating operational procedures, product terms and conditions, and reviewing product-related marketing or technical content.

• This includes maintaining registers, auditing counterparties and partners, and supporting regulatory reporting tied to product activity.

• Academic background: you graduated from a law university or a business school, ideally with a degree in banking and financial law.

• Experience: at least 5 years of experience as a product/commercial legal counsel in a fintech or banking/financial institution, or in the financial services or technology practice of a law firm.

• Knowledge of financial regulation: strong understanding of the main regulatory frameworks that are relevant to Spiko's products (i.e., predominantly MiFID/MiFIR, and secondarily PSD2/EMD2, MiCA and DORA).

• Contractual negotiation expertise: you have a track record of leading complex B2B contractual negotiations between fintechs or financial institutions

• Versatility: as one of the first members of our legal team, you will support product legal work across several jurisdictions and regulatory frameworks.

• Mindset: highly ambitious and eager to be one of the first members of a team striving for excellence.

• Excellent communication skills: you must be professionally proficient in English. Proficiency in a second European language, such as French, German, Italian, Spanish or Dutch, is a plus.

Nice to have:

• A track record of engaging with EU financial regulators.

• Experience with UCITS/AIFMD.

• Experience with DORA and GDPR.

• Experience with IP and tech transactions (software licensing, IP assignment, SaaS/vendor agreements).

• Experience in a fast-growing fintech start-up environment.
