Swapcard recherche un juriste d'entreprise expérimenté pour diriger les transactions et structuration d'entités internationales. Vous assurerez le secrétariat social de la filiale française et des sociétés mondiales, tout en coordonnant avec les équipes financières et les counsels externes.

Le candidat idéal possède 4 à 6 ans d'expérience en droit des sociétés, une formation française et est à l'aise en anglais et en français; le CAPA est un plus et une expérience avec des clients startups est

Competenze

• 4–6 années d'expérience en droit des sociétés.
• Master 2 en droit des affaires requis, CAPA apprécié.
• Anglais et Français à l'écrit et à l'oral courants.
• Formation juridique française obligatoire.

Mansioni

• Gérer les transactions de l'entreprise: financements, M&A, investissements et opérations stratégiques.
• Gérer le secrétariat social pour l'entité française et les filiales, assurer la conformité.
• Gérer les ESOP et les formalités associées.
• Participer à l'élaboration et à l'exécution de la stratégie juridique du groupe.
• Fournir des conseils juridiques aux fondateurs et parties prenantes.
• Collaborer avec le service financier et les counsels externes.
• Contribuer à d'autres domaines du droit des affaires et des opérations juridiques.

• Directly reporting to the Chief Legal Officer, your main tasks will be focused around Corporate law as follows:
• Handle the Company corporate transactions including funding, M&A, investment, and other strategic operations in a substantive fashion (e.g., structuring corporate documentation, due diligence participation, negotiation of investment agreements, post-closing formalities)
• Handle corporate secretary for the French entity and its 8 worldwide subsidiaries and ensure compliance with local corporate law
• Manage our ESOP plans distributed to our collaborators worldwide and associated formalities
• Assist in developing and executing legal strategy regarding group structuration and setting up new entities around the world
• Provide corporate advices to the founders and and different stakeholders of the company
• Proactively collaborate with the finance team and our outside counsels
• Your responsibilities may include other areas of business laws including legal operations
