Job summary

Whitebox AI is seeking a part-time Legal Intern to support contracts and governance as it scales in the AI governance space. The role is remote, approximately 10–15 hours per week, focusing on employment agreements, investor paperwork, and cap table management.

You will draft, review, and organize various contracts, assist with warrant and option documentation, maintain a clean legal repository, and flag issues for senior counsel.

Qualifications

• Current pursuit of a degree in Law, Business Law, or a related field
• Foundational knowledge of contract law and corporate legal structures; exposure to employment law, equity instruments (e.g., warrants, options), or shareholder agreements is a plus
• Strong attention to detail and comfort working with formal legal and financial documents
• Clear, professional written and verbal communication skills, with the ability to explain legal concepts to non-legal stakeholders
• Proficiency with standard document tools (Word, Google Docs, etc.); familiarity with e-signature and document management platforms is a plus
• Self-motivated, organized, and able to manage tasks independently in a remote work setting
• Interest in startups, venture financing, or AI governance is a plus
• Discretion and comfort handling confidential corporate and financial information

Responsibilities

• Drafting, reviewing, and organizing contracts and agreements (commercial, employment, and vendor)
• Supporting preparation and administration of employment agreements and onboarding documentation for new hires
• Assisting with warrant and option documentation as part of the company's cap table management
• Helping prepare and maintain shareholder agreements and shareholder subscription agreements in connection with ongoing SAFE fundraising rounds
• Maintaining a clean, well-organized legal document repository
• Flagging issues or inconsistencies across agreements for review by senior counsel or the founding team
• Light coordination with external counsel and clear communication of legal matters to non-legal stakeholders across the team
