Job summary

Hitachi Rail Denmark A/S is seeking a Contract Manager to join the Danish Legal & Contracts team within the North, Central East Europe and the global organization. You will coordinate with internal departments and manage contractual relationships on international projects.

You will draft and negotiate contracts, handle notices, changes and claims, and provide guidance to project teams to minimize risk while maximizing opportunities.

Qualifications

  • Danish Master of Laws (LL.M.) and/or MSc in Business Administration and Commercial Law, or similar degree.
  • Minimum 5 years of consolidated experience in contract management, commercial, legal and/or project management roles.
  • Good understanding of contract and commercial management practices in complex project environments.
  • Ability to interpret and negotiate complex contracts, agreements and procurement documents.
  • Competence in contractual risk assessment, claims prevention, change management and negotiation support.
  • Strong drafting, negotiation and communication skills in internal and external environments.
  • Fluency in Danish and English (spoken and written).

About the Role

As member of the Danish Legal & Contracts team, and more generally of the North, Central East Europe (NCEE) and the global Legal, Contracts & Compliance organization of Hitachi Rail, the Contract Manager will play a vital role within an international project team and facilitate efficient coordination with internal departments.

Key Responsibilities
  • Contractual negotiation and management of business relationships with customers and sub-contractors, including preparation and managing of contract notices, correspondence, contract changes and claims.
  • Ensure that project delivery interests are being advanced and coordinate inputs from other project stakeholders (Project Manager, Scheduler, Procurement, Technical Leads, etc.) and support functions (Finance, Insurance, etc.).
  • Maintaining contractual records, documentation of key correspondence, status and issue.
  • Providing support, guidance and contract clarification and interpretation to the project teams to minimize contractual risk and exposure, provide advice to maximize commercial opportunities for the project, and contribute in the development and implementation of actions and risk mitigation plans.
  • Drafting of formal project communications.
  • Representing the company in internal and external meetings.
  • Claims and variation creation and management including escalation into a more formal forum for resolution (litigation, arbitration, mediation, etc.) and liaise with in-house and external counsel in the development of the dispute file.
  • Identify, analyze, manage and reduce legal and contractual risks especially for public tender procedures.
  • Preparation, in cooperation with internal experts within the international Hitachi Rail organization, of legal memos and other documents required for internal processes and management approvals.
  • Supporting negotiations with customers and suppliers.
Key Interfaces

Aside Danish and NCEE Legal & Contracts: Project Manager, Change Manager, Finance Controller and Project Management Office. Engineering, Implementation, T&C and Procurement teams. Customer legal, commercial and procurement representatives. External legal counsel, corporate legal functions, suppliers and subcontractors.

Authority & Accountability

Accountable for the completeness, quality and consistency of contract management activities, legal advice and contractual correspondence. Responsible for identifying, assessing and mitigating contractual, legal and commercial risks throughout the project lifecycle. Authorized to request information and supporting evidence from project functions, challenge contractual positions lacking sufficient substantiation and recommend risk mitigation measures. Responsible for ensuring compliance with contractual requirements, applicable laws, governance requirements and internal policies. Accountable for preparation of settlement agreements, significant legal positions, contract amendments and commitments impacting project baselines or company risk exposure.

Mandate Protect and maximize the company’s contractual and commercial position, ensure legal and contractual compliance, support effective risk management, and secure consistent application of contractual rights and obligations across projects and corporate activities.

Skills & Experience
  • Danish Master of Laws (LL.M.) and/or Science (MSc) in Business Administration and Commercial Law, or similar relevant academic degree.
  • Minimum 5 years of consolidated experience in complex contract management, commercial, legal and/or project management roles, preferably in infrastructure projects, (railway, energy or construction sector).
  • Good understanding of contract and commercial management practices, preferably supported by experience in complex project environments.
  • Ability to interpret and negotiate complex contracts, agreements and procurement documents in a risk-based environment.
  • Competence in contractual risk assessment, claims prevention, change management, negotiation support and stakeholder management.
  • Ability to translate technical, operational and commercial information into sound contractual positions.
  • Good drafting, negotiation and communication skills in both internal and external environments.
  • Detail-oriented, pragmatic and solution-focused approach combined with strong ethical judgment and commercial awareness.
  • Strong interpersonal, communication and stakeholder management skills also showing in an ability to perform effectively under time pressure, customer scrutiny and challenging commercial discussions.
  • Self-starter with a proactive and hands-on approach, capable of taking responsibility and accountability, while contributing effectively within international and multidisciplinary teams.
  • Flexible, adaptable and open to change; capable of managing competing priorities.
  • Excellent written and verbal communication skills.
  • Fluency in Danish and English (spoken and written).
